Common use of VENUE, APPLICABLE LAW Clause in Contracts

VENUE, APPLICABLE LAW. The venue for any dispute between the parties arising from or relating to this Agreement or Employee’s obligations hereunder shall be exclusively in the federal and state courts of Xxxxxx County, Texas, unless another forum is required by applicable law. This Agreement shall be construed in accordance with the laws of the State of Texas, without regard to the conflict of law provisions of any jurisdiction. In the event that Employee resides in a state in which this consent to or waiver of objections to governing law and venue may not be effective as a matter of law, then the Parties agree that this selection of governing law and venue shall be that of the city and state in which Employee primarily resides.
