VENUE; CONSENT TO JURISDICTION. Any claim, action, or suit (collectively, “Proceeding”) between State and Contractor that arises from or relates to this Price Agreement will be brought and conducted within the Circuit Court of the State of Oregon for Xxxxxx County; provided, however, if a Proceeding must be brought in a federal forum, then unless otherwise prohibited by law, it will be brought and conducted within the United States District Court for the District of Oregon.
