Governing Law, Venue and Consent to Jurisdiction. This Agreement and the legal relations among the parties shall be governed by, and construed and enforced in accordance with, the laws of the State of Delaware, without regard to its conflict of laws rules. Subject to Indemnitee's rights under paragraph 7.1 and the final two sentences of this paragraph 12.7, the Company and Indemnitee hereby irrevocably and unconditionally (i) agree that any action or proceeding arising out of or in connection with this Agreement shall be brought only in the Chancery Court of the State of Delaware (the "Delaware Court"), and not in any other state or federal court in the United States of America or any court in any other country, (ii) consent to submit to the exclusive jurisdiction of the Delaware Court for purposes of any action or proceeding arising out of or in connection with this Agreement, (iii) waive any objection to the laying of venue of any such action or proceeding in the Delaware Court, and (iv) waive, and agree not to plead or to make, any claim that any such action or proceeding brought in the Delaware Court has been brought in an improper or inconvenient forum. Notwithstanding the foregoing, Indemnitee may, in Indemnitee's sole discretion, elect to bring any action or proceeding arising out of or in connection with this Agreement in any federal or state court located in the State of Colorado. If Indemnitee makes such election, the Company hereby irrevocably and unconditionally (i) consents to submit to the exclusive jurisdiction of such state or federal court located in the State of Colorado (the "Colorado Court") for purposes of any action or proceeding arising out of or in connection with this Agreement, (ii) waives any objection to the laying of venue of any such action or proceeding in such Colorado Court, and (iii) waives, and agrees not to plead or to make, any claim that any such action or proceeding brought in such Colorado Court has been brought in an improper or inconvenient forum.

Governing Law, Venue and Consent to Jurisdiction. 17.1 The Agreement and any Services provided pursuant to this Agreement shall be governed by and construed in accordance with the laws of the State of Oregon, without regard to principles of conflicts of laws. 17.2 Any claim, action, suit or proceeding (collectively, "Action") between the State and Contractor that arises from or relates to the Agreement shall be brought and conducted solely and exclusively within the Circuit Court of Xxxxxx County for the State of Oregon; provided, however, if an Action must be brought in a federal forum, then unless otherwise prohibited by law it shall be brought and conducted solely and exclusively within the United States District Court for the District of Oregon. CONTRACTOR HEREBY CONSENTS TO THE IN PERSONAM JURISDICTION OF SAID COURTS AND WAIVES ANY OBJECTION TO VENUE IN SUCH COURTS, AND WAIVES ANY CLAIM THAT SUCH FORUM IS AN INCONVENIENT FORUM. Nothing herein shall be construed as a waiver of the State's sovereign or governmental immunity, whether derived from the Eleventh Amendment to the United States Constitution or otherwise, or of any defenses to Actions or jurisdiction based thereon. 17.3 Any claims, actions, suits or proceedings between Contractor and a federal entity, or between Contractor and Washington state will be governed by the procedures outlined in the Special Contract Terms and Conditions in Exhibit K.

Governing Law, Venue and Consent to Jurisdiction. This Agreement shall be governed by, and construed in accordance with, internal laws of the State of Florida. Seller and Buyer irrevocably submit to the jurisdiction of the US Bankruptcy Court, which shall have jurisdiction to determine all disputes which arise from the terms of this agreement. Similarly, the parties agree to waive any objection to the jurisdiction of US Bankruptcy Court. Solely to the extent that the US Bankruptcy Court declines to exercise its jurisdiction, then the parties may only seek redress before the United States District Court for the Middle District of Florida or the courts of Sumter County, Florida, and the parties waive any objection to the jurisdiction of such courts or arguments that such courts are inappropriate venues.
