Venue for Suits. The parties agree that any action or proceeding relating in any way to this Agreement or the Related Agreements or the transactions contemplated hereby and thereby shall, if brought against Seller or Bio Dental, be brought and enforced in the Municipal or Superior Court for the County of Sacramento, California or in the United States District Court for the Northern District of California or, if brought against Buyer, in a Missouri State Court or United States District Court sitting in St. Louis, Missouri, and the parties hereby waive any objection to jurisdiction or venue in any such proceeding commenced in or removed to such courts.
