Verify Conformity with Investment Criteria. Subject to the direction of the Board of Directors, the Advisor shall use commercially reasonable efforts to ensure that each Investment acquired by the Company conforms in all material respects to the investment criteria of the Company and shall seek to cause each seller or transferor of Investments to the Company to make such representations and warranties regarding such Investments as may, in the reasonable judgment of the Advisor, be necessary and appropriate, subject to market custom. In addition, the Advisor shall take such other action as it deems reasonably necessary or appropriate in seeking to protect the Company’s Investments to the extent consistent with its duties under this Agreement.
