Vesting Conditions and Transfer Restrictions. Vesting of any Award is conditioned on Participant’s continuous employment with the Company up to and including the scheduled vesting date, unless otherwise provided in this Agreement. If the conditions to vesting as specified in this Section 2 are not satisfied as of the applicable vesting date(s) (including circumstances in which vesting occurs after termination of employment), unvested shares in a Stock Award and/or the unvested portion of the Deferred Cash Award may be canceled.
