Vice Presidents. The Vice Presidents will, subject to the control of the Member, perform such duties as may be assigned to them by the President and will have the general powers and duties usually vested in the office of vice president of corporations, and will have such other powers and duties as may be prescribed by the Member. The Vice Presidents willPresidents, subject to the control of the Member, perform such duties as may be assigned to them by the President and will have the general powers and duties usually vested in the office order of vice president of corporationstheir seniority, and will have such other powers and duties as may be prescribed by the Member. In the case of the death, disability or absence of the President, a Vice President shall perform and be vested with all the duties and exercise the powers of the President until in the Member appoints a new event of the President’s absence or disability, or at the direction of the President at any time (including with respect to signing any contracts or other instruments as set forth in Section 5(b)(i)), unless otherwise determined by the President or the Board of Directors.

The Vice Presidents willvice-president, if any, or if there shall be more than one, the vice-presidents in the order determined by the board of directors shall, in the absence or disability of the president, act with all of the powers and be subject to all the control restrictions of the Member, president. The vice-presidents shall also perform such other duties as may be assigned to them by the President and will have the general powers and duties usually vested in the office of vice president of corporations, and will have such other powers and duties as the board of directors, the president or these by-laws may be prescribed by the Member. In the case of the death, disability or absence of the President, a Vice President shall perform and be vested with all the duties and powers of the President until the Member appoints a new Presidentfrom time to time prescribe.

The Vice Presidents willvice presidents, subject to if any are designated, in the control order of their seniority, unless otherwise determined by the Managers, shall, in the absence or disability of the Memberpresident, perform such the duties as may be assigned to them by the President and will have the general authority and exercise the powers of the president. They shall perform such other duties and duties usually vested in the office of vice president of corporations, and will have such other powers and duties as may be prescribed by the Member. In the case of the death, disability or absence of the President, a Vice President shall perform and be vested with all the duties authority and powers of as the President until Managers may from time to time prescribe or as the Member appoints a new Presidentpresident may from time to time delegate.

Vice Presidents. The Vice Presidents willvice-president, subject to or if there shall be more than one, the control vice-presidents in the order determined by the board of directors, shall, in the absence or disability of the Memberpresident, perform the duties and exercise the powers of the president and shall perform such other duties as may be assigned to them by the President and will have the general powers and duties usually vested in the office of vice president of corporations, and will have such other powers and duties as the board of directors may, from time to time, determine or these bylaws may be prescribed by the Member. In the case of the death, disability or absence of the President, a Vice President shall perform and be vested with all the duties and powers of the President until the Member appoints a new Presidentprescribe.

Vice Presidents. The At the request of the President or in the President’s absence or disability or in the event of the President’s inability or refusal to act, the Vice President, or the Vice Presidents willif there is more than one (in the order designated by the Board), shall perform the duties of the President, and when so acting, shall have all the powers of and be subject to all the control of restrictions upon the Member, President. Each Vice President shall perform such other duties as may be assigned to them by the President and will have the general powers and duties usually vested in the office of vice president of corporations, and will have such other powers and duties as the Board from time to time may be prescribed by the Member. In the case of the death, disability or absence of the President, a Vice President shall perform and be vested with all the duties and powers of the President until the Member appoints a new Presidentprescribe.

Vice Presidents. The Vice Vice-Presidents willshall perform such of the duties of the President on behalf of the Company as may be respectively assigned to them from time to time by the Board of Directors or by the President. The Board of Directors may designate one of the Vice-Presidents as the Executive Vice-President, and in the absence or inability of the President to act, such Executive Vice-President shall have and possess all of the powers and discharge all of the duties of the President, subject to the control of the Member, perform such duties as may be assigned to them by the President and will have the general powers and duties usually vested in the office Board of vice president of corporations, and will have such other powers and duties as may be prescribed by the Member. In the case of the death, disability or absence of the President, a Vice President shall perform and be vested with all the duties and powers of the President until the Member appoints a new PresidentDirectors.

Vice Presidents. The Executive Vice Presidents willPresident, subject to and the control of the MemberVice Presidents, perform such shall have those duties and responsibilities as may shall be assigned to them by the President and will have Chairman or the general powers and duties usually vested in the office of vice president of corporations, and will have such other powers and duties as may be prescribed by the MemberPresident. In the case event of the deathabsence, resignation, disability or absence death of the Chairman and President, a the Executive Vice President shall exercise all the powers and perform and be vested with all the duties and powers of the President until the Member appoints his return, or until such disability shall be removed or until a new PresidentPresident shall have been elected.
