Violations by Licensor. Licensor shall not be deemed to have breached this Agreement based on a violation of any provision hereof unless Licensee notifies Licensor of the violation, including a reasonably-detailed statement of the factual basis thereof, and Licensor fails to cure the violation within thirty (30) days after receiving such notice. Notwithstanding the foregoing, if the violation is not reasonably susceptible to cure within thirty (30) days, then Licensor shall not be deemed to have breached this Agreement by reason of such violation so long as Licensor commences curing the violation within thirty (30) days after receiving the notice of violation and thereafter diligently pursues the cure to completion.
