Volume Obligations. During the Term, Supplier shall supply not less than 100,000 metric tons of Tubular Products annually for purchase by Buyer unless Buyer requests a smaller amount, and shall, together with the Tubular Products purchased by Buyer from Valin MPM Steel Tube Co., Ltd., supply not less than 200,000 metric tons of Tubular Products annually for purchase by Buyer unless Buyer requests a smaller amount. Buyer shall use its best efforts to achieve target sales of not less than 200,000 metric tons of Tubular Products annually from Supplier and Valin MPM Steel Tube Co., Ltd. and shall have consideration for Supplier’s and Valin MPM Steel Tube Co., Ltd.’s mill operating capacity in placing orders for Tubular Products.

Except as explicitly stated in this Agreement, neither party shall have an obligation (i) to offer any product or service to any third party by way of sale, license or otherwise, or (ii) to use any minimum level of effort in the promotion, marketing, licensing or sales of any products or services, including products or services of the other party, or (iii) to purchase or license any minimum amount of products or services from the other party.

Volume Obligations. If the Company agrees to any volume obligations for Products that are to be purchased by the Company in a Supply Contract, then the Company shall be liable for such volume obligation. If the Company fails to fulfill the Company’s agreed upon volume obligations under any Supply Contract, then the Company shall indemnify TPIC for all Losses in accordance with Section 5.1. The Company shall not be liable for assuming any volume obligations attributable to TPIC.
