Voluntary Resignation by the Optionee. Prior to an Initial Public ------------------------------------- Offering, the Options shall all expire on the Voluntary Notice Date if (i) the Voluntary Notice Date occurs less than twelve (12) months prior to the Voluntary Resignation Date; or (ii) the Voluntary Resignation Date occurs prior to April 1, 2004.
