Voting and Consensual Rights. Pledgor shall retain the right to vote the Pledged Shares and to exercise any other rights pertaining to the Pledged Shares, provided, however, so long as Pledgor is in "Default" as defined in Paragraph 3 of this Agreement, Secured Parties shall vote the Pledged Shares and exercise any rights pertaining to the Pledged Shares.
