Voting and Support Agreements. There shall have been no material breach of the Voting and Support Agreements by any party thereto other than Village Farms.
Voting and Support Agreements. (a) At Hurricane's request, Cyclone shall seek to enforce its rights as a third party beneficiary under the Cyclone Voting and Support Agreement to the full extent permitted therein, including by judicial enforcement; provided that Hurricane shall reimburse Cyclone for any out-of-pocket expenses (including reasonable attorney's fees) incurred by Cyclone in the course of any enforcement of its rights as requested or directed by Hurricane. Cyclone shall not waive or release any of its rights under the Cyclone Voting and Support Agreements or consent to any amendment or modification of, supplement to, or waiver under, the Cyclone Voting and Support Agreement without Hurricane's prior written consent. Cyclone shall provide Hurricane with prompt written notice following Cyclone's knowledge of (i) any breach (or threatened breach) of or default (or any event or circumstance that, with or without notice, lapse of time or both, could reasonably be expected to give rise to any breach or default) under the Cyclone Voting and Support Agreement by any party to the Cyclone Voting and Support Agreement; (ii) any dispute or disagreement between or among any of the parties to the Cyclone Voting and Support Agreement regarding such agreement or performance thereunder, other than any such dispute or disagreement that is immaterial; or (iii) any proposed amendment or modification of, supplement to, or waiver under, the Cyclone Voting and Support Agreement.
Voting and Support Agreements. None of the Voting and Support Agreements shall have been terminated and none of the Supporting Shareholders shall have breached the terms of its or their respective Voting and Support Agreement in any material respect.
Voting and Support Agreements. On or prior to the date hereof, those Persons identified on Schedule 4.25 shall have entered into voting and support agreements, which shall be in the form of Exhibit D-1 with respect to Persons holding Company Common Stock and in the form of Exhibit D-2 with respect to Persons holding SciVac Common Shares, which, in each case, among other things, set forth such Persons’ respective agreements to vote in favor of, as applicable, the Merger and the other transactions contemplated hereby.
Voting and Support Agreements. Concurrently with the signing of this Agreement, MGO and the MGO Principals, representing at least 61.28% of the issued and outstanding MGO Shares, shall each enter into a Voting and Support Agreement with Holdings in substantially the form attached as Exhibit A hereto.
Voting and Support Agreements. Concurrent with the execution and delivery of the merger agreement, certain of Helix’s officers, directors and significant stockholders (which we refer to as a supporting stockholder) entered into voting and support agreements (which we refer to as voting agreements) with Forian. The supporting stockholders beneficially own approximately 42.8% of the issued and outstanding shares of Helix common stock and 100% of the issued and outstanding shares of Helix preferred stock entitled to vote at Helix special meeting. Pursuant to the voting agreements, each supporting stockholder agreed, among other things to, vote or cause to be voted the shares of Helix common stock and Helix preferred stock beneficially owned by such supporting stockholder in favor of (i) the adoption of the merger agreement and approval of the merger and (b) against
Voting and Support Agreements. Acquiror has delivered to the Company true, correct and complete copies of each Voting and Support Agreement, executed by the applicable shareholders of Acquiror party thereto.
Voting and Support Agreements. Contemporaneously with the execution and delivery of this Agreement, each of the QSI Shareholders identified on SCHEDULE 8.2 hereto shall execute and deliver the Voting and Support Agreements.
Voting and Support Agreements. Concurrently with the execution and delivery of this Agreement, MTWF shall deliver to FIBK voting and support agreements substantially in the form of Exhibit B hereto, signed by all of the persons listed on Schedule 6.9.
Voting and Support Agreements. Simultaneously with the execution of this Agreement, the Acquiror shall have received from each member of the Board of Directors of the Bank (i) an executed Voting Agreement in the form and substance of the agreement annexed hereto as Exhibit A, and (ii) an executed Support Agreement in the form and substance of the agreement annexed hereto as Exhibit B.
