Lucid Shares definition

Lucid Shares means common shares in the capital of Lucid;
Lucid Shares means the issued and outstanding common shares in the capital of Lucid;

  • Securityholders of Lucid which hold at least 43.47% of the outstanding Lucid Shares, have entered into voting and support agreements in the form of Voting and Support Agreement attached hereto as Schedule "C" and are in compliance with the terms thereof.

  • The amount to be added to the stated capital in respect of the Amalco Shares issuable by Amalco pursuant to Subsections 3(c) and 3(d) of this Agreement shall be the aggregate of: (a) the Paid- up Capital, determined before the Effective Time, of the Subco Shares converted into Amalco Shares pursuant to Subsection 3(c); and (b) the Paid-up Capital, determined before the Effective Time, of all of the issued and outstanding Lucid Shares immediately prior to the Effective Time.

  • VMTP Shares has the meaning set forth in the preamble to this Agreement.

  • Founder Shares shall have the meaning given in the Recitals hereto and shall be deemed to include the shares of Common Stock issuable upon conversion thereof.

  • Company Preferred Shares means the Company Series A Preferred Shares and the Company Series B Preferred Shares.

  • Preferred Shares means shares of Series A Junior Participating Preferred Stock, par value $.01 per share, of the Company having the rights and preferences set forth in the Form of Certificate of Designations attached to this Agreement as Exhibit A.

  • Series B Preferred Shares means the Series B Preferred Shares of the Company, par value US$0.0001 per share.

  • Purchased Shares has the meaning set forth in Section 2.01.

  • Parent Shares means the shares of common stock, par value $1.00 per share, of Parent.

  • Dividend Shares means the shares of Common Stock issuable in payment of dividends payable on the Preferred Shares in accordance with the terms of the Certificate of Designation.

  • Buyer Shares means the common stock, with a par value of $0.0001 per share, of Buyer.

  • Common Shares means the common shares in the capital of the Corporation;

  • Purchaser Shares means the common shares in the capital of the Purchaser.

  • Merger Shares has the meaning set forth in Section 2.2(c).

  • H Shares means the overseas-listed foreign invested shares in the share capital of the Company with a nominal value of RMB1.00 each, which are subscribed for and traded in Hong Kong Dollars;

  • PIPE Shares shall have the meaning given in the Recitals hereto.

  • A Shares means shares issued by companies incorporated in the PRC and listed on the SSE or the SZSE, traded in RMB and available for investment by domestic investors through Stock Connect.

  • Equity Shares shall have the meaning attributed to such term in the recitals of this Agreement.

  • Amalco Shares means the common shares in the capital of Amalco;

  • Series D Preferred Shares means the Company’s series D preferred shares, par value US$0.00001 per share.

  • Series F Preferred Shares means the Series F Preferred Shares of the Company, par value US$0.0001 per share, with the rights and privileges as set forth in the Memorandum and Articles.

  • Newco Shares means common shares in the capital of Newco;

  • Sponsor Shares shall have the meaning given in the Recitals hereto.
