Voting; Member Meetings; Member Approval. (a) Any action required or permitted to be taken by the Members may be taken at a meeting within or outside the State of Delaware. Meetings of the Members may be called by the Board or the Members then holding a Majority in Interest. In all matters in which a vote, approval or consent of the Members is required, a vote, consent or approval of Members holding a Majority in Interest (or, if a Member is in material breach of this Agreement, a Majority in Interest of all Members not in material breach of this Agreement) shall be sufficient to authorize or approve such acts, except as otherwise provided herein or in the LLC Act, as applicable.
