Voting of Partners. Each Partner shall have a number of votes equal to the number of Units held by it. All decisions of the Partnership and of the Partners under this Agreement shall be made by a majority vote, unless otherwise specifically provided for herein.

Voting of Partners. On any matter presented to the Partners for their vote by the General Partner, or otherwise, each Partner shall have one vote for each Unit owned. The following actions shall require the approval of a Majority-In-Interest of Partners: (i) any modification to this Agreement materially changing the rights of the Partners; and (ii) approval of conversion or merger of the Company under the Act. Partners entitled to vote or to act with respect to Units in the Company may vote or act in person or by proxy. The person appointed as proxy need not be a Partner. Unless the writing appointing a proxy otherwise provides, the presence at a meeting of the person having appointed a proxy shall not operate to revoke the appointment. Notice to the Company, in writing or in open meeting, of the revocation of the appointment of a proxy shall not affect any vote or act previously taken or authorized.
