VOTING OR TENDERING COMPANY COMMON STOCK. A. Voting Company Common Stock: Before each annual or special meeting of the shareholders of the Company, the Company will furnish each Participant with a copy of the proxy solicitation material for the meeting, together with a form addressed to the Trustee on which a Participant may give his confidential instructions on how the shares of the Company Common Stock which are represented by the amount standing to the credit of such Participant should be voted. Upon receipt of such instructions the Trustee will vote that number of shares of such stock as instructed. Instructions received by the Trustee from Participants will be held by the Trustee in strict confidence and will not be divulged to any person, including officers or Employees of the Company. Any shares in the Savings Fund for which the Trustee receives no voting instructions prior to the close of business on the fifth business day immediately preceding the date such shares are to be voted shall be voted by the Trustee in the same proportion as the shares for which instructions were received.
