Voting Units. Subject to the other provisions of this Agreement, each voting Unit in a Series shall have the rights, and be subject to the obligations, identical to those of each other voting Unit of the same Member Class in the Series. The holders of voting Units shall be entitled to one vote for each voting Unit held at all meetings of voting Series Members (and written actions in lieu of meetings), with no right to cumulative voting. Voting Units. As used herein, the term “Voting Units” shall mean:
Voting Units. As used herein, the term “Voting Units” shall mean any Units of any class or series that are designated by the Company as Voting Units, which at as of the date of this Agreement refers 2,629 issued and outstanding Class A Common Units designated as “Voting Units” under this Agreement.
Voting Units. On any matter presented to the Members for their action or consideration at any meeting of Members (or by written consent of Members in lieu of meeting), each holder of outstanding Voting Units shall be entitled to cast the number of votes equal to the number of whole Units held of record by such holder as of the record date for determining Members entitled to vote on such matter. Except as may be provided by the other provisions of this Agreement, holders of Founder Units and Investor Units shall vote together as a single class. Any action or vote of the Members may be taken by a consent in writing setting forth the action or vote so taken and signed by Members holding the requisite percentage of Voting Units entitled to vote necessary to authorize or take such action.
Voting Units. (a) Subject to the other provisions of this Operating Agreement (including those governing the Members’ respective rights to receive allocations of Net Profits and Net Losses and to buy or sell Units), each Voting Unit with respect to a Series shall have the rights, and be subject to the obligations, identical to those of each other Voting Unit.
(b) The holders of Voting Units shall be entitled to one vote for each Voting Unit held at all meetings of Voting Members (and written actions in lieu of meetings), with no right to cumulative voting.
Voting Units. Except as otherwise provided in this Agreement or as required by applicable law, Members holding Common Units and Members holding Preferred Units shall vote together as a single class (and not as separate classes or series of Units). Except as otherwise provided in this Agreement or as required by applicable law, the affirmative vote, consent or agreement of Members holding at least a Units Majority shall be the act of the Members of the Company. Each Member holding Common Units shall be entitled to one (1) vote per Common Unit. Each Member holding Preferred Units shall be entitled to one (1) vote per Preferred Unit. Except as otherwise required by law, holders of Common Units shall not be entitled to vote on any amendment to this Agreement that relates solely to the terms of the Preferred Units if the holders of the Preferred Units are entitled to vote thereon pursuant to this Agreement or the Act.
Voting Units. All Membership Interests in this Series shall be denominated in units where one unit equals one dollar (U.S.) in that Member’s Capital Account. Each unit shall have one vote at all matters pertaining this Series. Each unit shall have the rights, and be subject to the obligations, identical to those of each other units of this Series. Majority vote controls the Series governance. However in all circumstances that overriding provisions in this Separate Series Operating Agreement and/or the Operating Agreement shall govern.

(b) The holders of Class A Voting Units shall be entitled to one vote for each Class A Voting Unit held at all meetings of Class A Voting Members (and written actions in lieu of meetings), with no right to cumulative voting.
Voting Units. Except as otherwise expressly provided hereunder, all matters on which votes are required hereunder shall be cast by Voting Units held by the Members. Each Voting Unit shall be entitled to one vote on all matters coming before any meeting of Members. The number of Voting Units held by each Member is set forth on Schedule 1 hereto. No new Voting Unit shall be awarded to any Person without the consent of Members holding more than a majority of the Voting Units. Any transfer by a Member of some or all of its Membership Interest as permitted hereunder shall result in a proportionate reduction in the Voting Units held by the transferor and the transferee shall not be entitled to receive or hold any such Voting Units unless such Person is admitted as a Substitute Member with corresponding Voting Units pursuant to the provisions of Sections 10.03 and 10.04 hereof. Changes in the number of outstanding Voting Units shall be reflected on the books of the Company and may from time to time be reflected on revisions to Schedule 1. Each Member agrees and acknowledges that no Member shall be entitled to Voting Units unless such Member receives Voting Units in accordance with the terms and provisions of this Operating Agreement.
