Waiver, Amendment, Assignment. No amendment, assignment or waiver of this Agreement or its term and conditions is valid unless it is in writing, specifically refers to this Agreement, and is signed by authorized representatives of both parties. Any amendment or waiver will be limited to the specific situation for which it is given. No other action or failure to act (including inspection, failure to inspect, acceptance of late deliveries, or acceptance of or payment for any Products) will constitute a waiver of any rights. This Section shall survive any termination or expiration of this Agreement and will continue to bind the parties and their successors and assigns.
