Waiver of Compliance; Consents. Any failure of the Shareholder or the ------------------------------ Purchaser to comply with any obligation, covenant, agreement or condition herein may be waived in writing by the other party, but no waiver shall be effective for any purpose unless it is expressed and in writing, and any such waiver or failure to insist upon strict compliance with such obligation, covenant, agreement or condition shall not operate as a waiver of, or estoppel with respect to, any subsequent or other failure. Whenever this Agreement requires or permits consent by or on behalf of any party hereto, such consent shall be effective only if given in writing in a manner consistent with the requirements for a waiver of compliance as set forth in this Section 6.02.

Whenever this Agreement requires or permits consent by or on behalf of any party hereto, such consent shall be effective only if given in writing in a manner consistent with the requirements for a waiver of compliance as set forth in this Section 6.0210.3. ADI hereby agrees that any consent or waiver of compliance given by DLB hereunder shall be conclusively binding upon it, whether given expressly on its behalf or not.

Whenever this Letter Agreement requires or permits consent by or on behalf of any party hereto, such consent shall be effective only if given in writing in a manner consistent with the requirements for a waiver of compliance compliances as set forth in this Section 6.023. 4.
