Common use of Waiver of Conditions of Closing Clause in Contracts

Waiver of Conditions of Closing. If any of the conditions set forth in Section 7.1 have not been satisfied, Purchaser may elect in writing to waive the condition and proceed with the completion of the transactions contemplated by this Agreement and, if any of the conditions set forth in Section 7.2 have not been satisfied, Seller may elect in writing to waive the condition and proceed with the completion of the transactions contemplated by this Agreement. Any such waiver and election by Purchaser or Seller, as the case may be, will only serve as a waiver of the specific closing condition, and the breaching party will have no liability with respect to that specific waived condition.
