Waiver of Preferential Right. If no Non-Disposing Founding Member, Diluted Member or Second Preferential Member, as applicable, delivers a notice of exercise of a Preferential Right, or if the Preferential Rights, as applicable, are not exercised in full pursuant to Section 3.03(b)(ii)(A), 3.03(b)(ii)(B), 3.03(b)(ii)(C) or 3.03(b)(ii)(D), the Disposing Member shall have the right, subject to compliance with the provisions of Sections 3.03(a) and (b), to Dispose of the portion of the Membership Interest described in the Disposition Notice that is not purchased pursuant to a Preferential Right, as applicable, to the proposed Assignee strictly in accordance with the terms of the Disposition Notice for a period of [***] Days after the expiration of the [***]-Day period referred to in such Section 3.03(b)(ii)(A), 3.03(b)(ii)(B), 3.03(b)(ii)(C) or Section 3.03(b)(ii)(D) (or, if later, the fifth Business Day after the receipt of all applicable Authorizations to the purchase). If, however, the Disposing Member fails so to Dispose of the Membership Interest within such [***]-Day period (or, if applicable, such fifth Business Day period), the proposed Disposition shall again become subject to the Preferential Rights.
Waiver of Preferential Right. If the Non-Disposing Members waive or are deemed to have waived the Preferential Right, the Disposing Member shall have the right to Dispose of the Membership Interest described in the Disposition Notice to the proposed Transferee strictly in accordance with the Disposition Notice for a period of 15 Business Days after the expiration of the last applicable period referred to in such Section 9.03(a). If, however, the Disposing Member fails so to Dispose of its Membership Interest within such 15-Business Day period, the proposed Disposition shall again become subject to the Preferential Right in accordance with Section 9.03(a).
Waiver of Preferential Right. If following compliance with this Section 7.03, no Members deliver an Exercise Notice, the Disposing Member shall have the right, subject to compliance with the provisions of Section 2.02, to Dispose of the Membership Interest described in the Disposition Notice to the proposed assignee strictly in accordance with the terms of the Disposition Notice for a period of ninety (90) days after the expiration of the preferential right period. If, however, the Disposing Member fails so to Dispose of the Membership Interest within such ninety (90) day period, the proposed Disposition shall again become subject to the preferential right set forth in this Section 7.03.
Waiver of Preferential Right. If no Management Members deliver an Exercise Notice prior to the deadline therefor set forth in Section 9.1(c)(i), the Disposing Member shall have the right, subject to compliance with the provisions of this Section 9.1, to Dispose of the Company Interest described in the Disposition Notice to the proposed Assignee strictly in accordance with the terms of the Disposition Notice for a period of 60 Days after the expiration of the preferential right period. If, however, the Disposing Member fails so to Dispose of the interest within such 60-Day period, the proposed Disposition shall again become subject to the preferential right set forth in this Section 9.1(c).
Waiver of Preferential Right. If the Non-Disposing Members do not elect (or otherwise fail) to purchase all of the applicable Units set forth in the applicable Disposition Notice, each Purchasing Member shall have the right to purchase its pro-rata portion of such unpurchased Units by providing an additional Exercise Notice to the Company and the Disposing Member of its intent to do so within 10 Days after the expiration of the period set forth in the Disposition Notice. If, after the expiration of such 10 Day period, any of the applicable Units set forth in the applicable Disposition Notice remain unpurchased, the Disposing Member shall have the right, subject to compliance with the provisions of this Section 4.5 (including, without limitation, Section 4.5(b)(iv) hereof), to Dispose of such Units described in the Disposition Notice (or such portion thereof that the Non-Disposing Members did not elect to purchase) to the proposed Assignee strictly in accordance with the terms of the Disposition Notice for a period of 60 Days after the expiration of the applicable preferential right period or, if later, after the failure of the Purchasing Members to complete such purchase in accordance with Section 4.5(b)(iii)(B) hereof or this Section 4.5(b)(iii)(C) hereof. If, however, the Disposing Member fails to Dispose of such Units within such period, the proposed Disposition to the proposed Assignee shall again become subject to the preferential right set forth in this Section 4.5(b)(iii).
Waiver of Preferential Right. If no Non-Disposing Founding Member delivers a First Preferential Exercise Notice or Second Preferential Exercise Notice, or if the Preferential Rights are not exercised in full pursuant to Section 3.03(b)(ii)(A), 3.03(b)(ii)(B), 3.03(b)(ii)(C) or 3.03(b)(ii)(D), the Disposing Member shall have the right, subject to compliance with the provisions of Sections 3.03(a) and (b), to Dispose of the portion of the Membership Interest described in the Disposition Notice that is not purchased pursuant to the Preferential Rights to the proposed Assignee strictly in accordance with the terms of the Disposition Notice for a period of [***] Days after the expiration of the [***]-Day period referred to in such Section 3.03(b)(ii)(A), 3.03(b)(ii)(B), 3.03(b)(ii)(C) or

Waiver of Preferential Right. If no Members deliver Exercise Notices or if the Preferential Right is otherwise deemed waived pursuant to Section 3.03(b)(ii)(A), the Disposing Member shall have the right, subject to compliance with the provisions of Sections 3.03(a) and (b), to Dispose of the Membership Interest described in the Disposition Notice to the proposed Assignee strictly in accordance with the terms of the Disposition Notice for a period of 60 Days after the expiration of the last applicable period referred to in such Section
Waiver of Preferential Right. If the Responding Shareholder does not deliver an Exercise Notice or the appointment of its Assignee prior to the deadline therefor set forth in Section 8.3(a), then the Disposing Shareholder shall have the right, subject to compliance with the provisions of this Article 8, to Dispose of the shares described in the Transfer Notice to the proposed Assignee strictly in accordance with the terms of the Transfer Notice for a period of (60) Days after the expiration of the preferential right period. If, however, the Disposing Shareholder fails so to Dispose of the interest within such sixty (60) Day period, the proposed Disposition shall again become subject to the preferential right set forth in this Section 8.3.
Waiver of Preferential Right. If the recipient of the Disposition Notice does not exercise the Preferential Right during the 15 Business-Day period referred to in Section 3.03(d)(i) (or, if later, by the fifth Business Day after the resolution of any dispute under Section 3.03(d)(ii)), the recipient shall be deemed to have waived the Preferential Right as to such proposed Disposition, but not as to any future Disposition. In that event, the Disposing Member shall have the right, subject to compliance with the provisions of this Section 3.03, to Dispose of the Membership Interest described in the Disposition Notice to the proposed Assignee strictly in accordance with the terms of the Disposition Notice for a period of 90 Days after the expiration of such 15 Business-Day period. If, however, the Disposing Member fails so to Dispose of the Membership Interest within such period, the proposed Disposition shall again become subject to the Preferential Right.
