Common use of Waiver of Registration Rights Clause in Contracts

Waiver of Registration Rights. All rights, whether by contract or otherwise, that any person has, to require registration under the Act of shares of capital stock or other securities of the Company because of the filing or effectiveness of the Registration Statement or otherwise in connection with the sale of the Shares contemplated hereby, shall have been legally and effectively waived.
