Waivers; Acknowledgements. (a) The obligations of the ARC Principals under Section 1.1 will not be affected by (i) the failure of the Guarantied Parties to assert any claim or demand or to enforce or exercise any right or remedy against ARC or the ARC Principals, whether under the Transaction Agreement, this Agreement or otherwise (ii) any change in the time, place or manner of payment or performance of any Obligation, or any valid amendment, modification or waiver to the terms of the Transaction Agreement, except to the extent such Obligations are amended, modified or waived, or any rescission, waiver, compromise or consolidation of any Obligation, (iii) the existence of any claim, set-off or other right which any ARC Principal may have at any time against ARC or the Guarantied Parties, whether in connection with the Obligations or otherwise, (iv) the adequacy of any other means the Guarantied Parties may have of obtaining payment related to the Obligations, (v) the addition, substitution, discharge or release of any Person now or hereafter liable with respect to the Obligations (including, without limitation, any other ARC Principal) or otherwise interested in the transactions contemplated by the Transaction Agreement, (vi) any change in the corporate existence, structure or ownership of ARC or any other Person liable with respect to any Obligation (including, without limitation, any other ARC Principal) or (vii) any insolvency, bankruptcy, reorganization or other similar proceeding instituted by or against ARC or any other Person liable with respect to any Obligation (including, without limitation, any other ARC Principal).

Waivers; Acknowledgements. (a) FGI waives and releases any claim which FGI may now or hereafter have against Credit Agreement Creditors arising out of any and all actions which Credit Agreement Creditors, in good faith and in accordance with the terms of this Agreement, takes or omits to take with respect to the Agent Priority Collateral, including without limitation, (i) actions with respect to the creation, perfection or continuation of liens or security interest in the Agent Priority Collateral, (ii) actions with respect to the foreclosure upon, sale, release, or depreciation of, or failure to realize upon, any of the Agent Priority Collateral, and (iii) any other action with respect to the valuation, use, protection or disposition of the Agent Priority Collateral.

  • Certain Acknowledgements The Participant acknowledges and agrees (i) that the Trust, the Transfer Agent, the Distributor and their respective agents may elect to review any Order placed through the Web Order Site manually before it is executed and that such manual review may result in a delay in execution of such Order; (ii) that during periods of heavy market activity or other times, it may be difficult to place Orders via the Web Order Site and the Participant may place Orders as otherwise set forth in Attachment A; and (iii) that any transaction information, content, or data downloaded or otherwise obtained through the use of the Web Order Site are done at the Participant’s own discretion and risk.   • Additional Agreements Acknowledgements and Waivers of the Purchaser (a) Lock-up; Transfer Restrictions. The Purchaser agrees that it shall not Transfer any Forward Purchase Shares or Forward Purchase Warrants until 30 days after the completion of the initial Business Combination. Notwithstanding the foregoing, Transfers of the Forward Purchase Shares and Forward Purchase Warrants are permitted (any such transferees, the “Permitted Transferees”): (i) to the Company’s officers or directors, any affiliates or family members of any of the Company’s officers or directors, any members, managers or affiliates of the Purchaser, or any employees or advisors of the Company, the Purchaser or such affiliates; (ii) in the case of an individual, by gift to a member of the individual’s immediate family, to a trust, the beneficiary of which is a member of individual’s immediate family or an affiliate of such person, or to a charitable organization; (iii) in the case of an individual, by virtue of laws of descent and distribution upon death of the individual; (iv) in the case of an individual, pursuant to a qualified domestic relations order; (v) in the event of the Company’s liquidation, merger, capital stock exchange, reorganization or other similar transaction which results in all of the Company’s stockholders having the right to exchange their Class A Shares for cash, securities or other property subsequent to the completion of the Company’s initial Business Combination; (vi) as a distribution to limited partners, members or stockholders of the Purchaser; (vii) to a nominee or custodian of a person or entity to whom a disposition or transfer would be permissible under clauses (i) through (vi) above; provided, however, that in each case, these Permitted Transferees must enter into a written agreement agreeing to be bound by these transfer restrictions. “

  • Additional Acknowledgements By accepting this Agreement electronically, the Grantee and the Company agree that the Restricted Stock Units are granted under and governed by the terms and conditions of the Plan and this Agreement. The Grantee has reviewed in its entirety the prospectus that summarizes the terms of the Plan and this Agreement, has had an opportunity to request a copy of the Plan in accordance with the procedure described in the prospectus, has had an opportunity to obtain the advice of counsel prior to electronically accepting this Agreement and fully understands all provisions of the Plan and this Agreement. The Grantee hereby agrees to accept as binding, conclusive and final all decisions or interpretations of the Administrator upon any questions relating to the Plan and this Agreement.

  • Risk Acknowledgement The Sub-Adviser makes no representation or warranty, express or implied, that any level of performance or investment results will be achieved by the Fund, whether on a relative or absolute basis. The Adviser understands that investment decisions made for the Fund by the Sub-Adviser are subject to various market, currency, economic, political, business and structure risks and that those investment decisions will not always be profitable.

  • Tax Acknowledgement In connection with the Severance Benefits provided to Executive pursuant to this Agreement, the Company shall withhold and remit to the tax authorities the amounts required under applicable law, and Executive shall be responsible for all applicable taxes owed by him or her with respect to such Severance Benefits under applicable law. Executive acknowledges that he is not relying upon the advice or representation of the Company with respect to the tax treatment of any of the Severance Benefits. ​

This Agreement and the other Loan Papers set forth the entire understanding and agreement of the parties hereto and thereto with respect to the transactions contemplated herein and therein and supersede all prior discussions and understandings with respect to the subject matter hereof and thereof, and no modification or amendment of or supplement to this Agreement or the other Loan Papers shall be valid or effective unless the same is in compliance with Section 14.2(c).
