Warehouse Services. Pactiv will provide Xxxxxxxx with the Warehouse Services at the Warehouses listed on Schedule 1-A. The amount of Warehouse storage in cubic feet available to Xxxxxxxx at each Warehouse on the terms and conditions of this Agreement and the Service Expiration Date for each Warehouse are listed on Schedule 1-A. The terms and conditions of providing, using and paying for the Warehouse Services are set forth in Schedule 1-B. Notwithstanding anything in this Agreement to the contrary, Pactiv may, but will not be required to, perform Services at a Warehouse that would require, involve or result in Pactiv having to perform Services at a Warehouse or otherwise operate its business in a materially different manner than how Pactiv performed Services at the Warehouses for Xxxxxxxx, and Pactiv operated its business, during the trailing twelve (12) month period immediately preceding the Effective Date. By way of example, Pactiv will not be required to perform Services at a Warehouse or otherwise operate its business in compliance with a new standard or other requirement adopted by Xxxxxxxx or any of its customers unless Pactiv has expressly agreed to do so in the SOPs or in a signed written amendment to this Agreement
Warehouse Services. Services we provide in relation to Goods while they are within our warehouse buildings.
Warehouse Services. For purposes of this Statement of Work, “Warehouse Services” shall be those Services specified in the description in Attachment C of this Statement of Work.
Warehouse Services. The Service Provider, as an independent contractor, agrees to perform the services set forth below for the benefit of the Company from time to time. The duties of the Service Provider with respect to each Facility shall commence upon the Company’s delivery of a copy of the executed Facility Documents to the Service Provider.
(a) In connection with each Transaction under each Facility, the Service Provider shall:
(i) if such Transaction is the initial Transaction under such Facility, assist the Company in negotiating the Facility Documents between the Company and the Transaction Counterparty and collecting and receiving insurance certificates, organizational documents, incumbency certificates, opinions of counsel and other documents and instruments the delivery of which are conditions precedent to such initial Transaction;
(ii) whether or not such Transaction is the initial Transaction under such Facility:
(A) review the request for a Transaction, request for custodial certification (if applicable) and mortgage loan schedule submitted by the Transaction Counterparty;
(B) if the mortgage loan schedule contains erroneous computer data, is not formatted properly or computer fields are otherwise improperly aligned, notify the Transaction Counterparty and request appropriate corrections;
(C) review the mortgage loan schedule to assess the compliance of the Mortgage Loans with the eligibility criteria set forth in the Facility Agreement;
(D) based on the mortgage loan schedule, determine the market values of the Mortgage Loans and calculate the purchase price for each Mortgage Loan that satisfies the eligibility criteria set forth in the Facility Agreement;
(E) if the Mortgage Loan would otherwise fail to satisfy the eligibility criteria set forth in the Facility Agreement, determine whether to purchase the Mortgage Loan on behalf of the Company, prepare a proposed purchase confirmation setting forth the purchase price, pricing rate, market value, repurchase date and other terms of such Transaction;
(F) calculate whether the aggregate purchase price for the Mortgage Loans to become subject to such Transaction, together with the aggregate purchase price of all Mortgage Loans already subject to a Transaction, would exceed the aggregate commitment amount or any sub-limits set forth in the Facility Documents;
(G) with respect to each Mortgage Loan to be purchased, review the trust receipts delivered by the related custodian to confirm the custodian’s possession of th...
Warehouse Services. Services to be performed pursuant to this Schedule are as follows:
Warehouse Services. 1. If Flextronics does not provide the “in-bound freight forwarding service”, PANW shall ensure that Flextronics receives a minimum of twelve (12) hours advanced notice of shipments scheduled for delivery to the Flextronics Facility. 2. Within 24 hours of physical receipt, Flextronics will provide email notification of devices received into the repair centers. Such notification shall include the following information
(a) Stock receipt note;
(b) Date received;
(c) Part numbers and quantity received;
(d) In-bound serial number capture
3. Flextronics will check the Goods against shipping documents and report any discrepancies in quantity of the Goods within 24 hours of delivery of defective goods.

Warehouse Services. Flextronics will check the Goods against shipping documents and incoming inspection criteria as agreed to by both parties. Any discrepancies in quantity, observable defects in the external packaging of the Goods, or discrepancies against inspection criteria will be reported. For the purposes of this Agreement, “observable defects” shall mean only those defects plainly and readily visible to the human eye and requiring no technical skills or background to discover upon visual inspection. Inspections beyond the extent noted above may require an adjustment to pricing as agreed to by both parties prior to implementation of such a change.
Warehouse Services. (a) MountSpil agrees to provide the following warehouse services (the "Warehouse Services") to Icy Splash at MountSpil's premises. MountSpil shall bill Icy Splash, and Icy Splash shall pay to MountSpil an amount exxxx to $8,000 per week for storage, receiving and tracking, loading and order preparation of merchandise in limits as listed below:
(i) Storage - up to 300 pallet loads
(ii) Receiving and tracking- up to 100 pallet loads per week
(iii) Loading -up to 100 pallet loads per week
(iv) Order preparing - up to 100 pallet loads per week
(b) For any other services requested in writing by Icy Splash to be provided by MountSpil, including any trucking and collection services, MountSpil will bill Icy Splash separately at prices to be agreed upon in adxxxxe in writing by the parties hereto. MountSpil shall not be obligated to provide any trucking or delivery services to Icy Splash hereunder.
(c) MountSpil shall perform all Warehouse Services and all other services in a lawful, timely, efficient and workman-like manner, using such technology as is reasonably nxxxxxxxy for MountSpil to provide the Warehouse Services.
Warehouse Services. (a) Unless otherwise agreed, the Warehouse Overtime Charge covers any inbound or outbound warehouse services outside of TC Trading’s normal warehouse hours of Monday-Friday, except holidays, 7:30 a.m. to 5:30 p.m.
(b) Any packing or other materials and services other than standard shrink wrap and seals shall be billed at TC Trading’s then current rates which are available upon request.
