Common use of Warrant Agent’s Remuneration and Expenses Clause in Contracts

Warrant Agent’s Remuneration and Expenses. The Corporation will pay to the Warrant Agent from time to time such reasonable remuneration for its services hereunder as may be agreed upon between the Corporation and the Warrant Agent and will pay or reimburse the Warrant Agent upon its request for all reasonable expenses, disbursements and advances properly incurred or made by the Warrant Agent in the administration or execution of the duties and obligations hereby created (including the reasonable compensation and the disbursements of its counsel and all other advisors and assistants not regularly in its employ), both before any default hereunder and thereafter until all duties and obligations of the Warrant Agent under the provisions hereof shall be finally and fully performed, except any such expense, disbursement or advance as may arise from the negligence or wilful misconduct of the Warrant Agent, its servants or agents or its counsel or other advisors or assistants aforesaid. Any amount due under this section and unpaid 30 days after request for such payment shall bear interest from the expiration of such 30 days at rates as determined for the Warrant Agent’s corporate client account at Toronto, Ontario from time to time.

Any amount due under this section Section 7.2 and unpaid 30 days after request for such payment shall will bear interest from the expiration of such 30 days at rates as determined per annum equal to the prime rates for the Warrant Agent’s corporate client account commercial loans in Canadian funds at Toronto, Ontario Vancouver charged from time to timetime by the bankers of the Corporation.
