Common use of Warranties and Agreement of Seller Clause in Contracts

Warranties and Agreement of Seller. All representations and warranties of each Seller contained in this Agreement shall be true and correct in all material respects at and as of the Closing Date with the same effect as though such representations and warranties were made at and as of the Closing Date, except to the extent that such representations and warranties expressly relate to any earlier date and to the extent that the information contained in exhibits and schedules hereto expressly relates to any earlier date, and each Seller shall have performed and complied with all the covenants and agreements and satisfied all the conditions required by this Agreement to be performed, complied with or satisfied by them at or prior to the Closing Date; and, Buyer shall have received a certificate dated the Closing Date and signed by the President, Vice-President or Managing Member, as applicable, of each Seller to the foregoing effect.
