Common use of WARRANTIES AND AUTHORITY Clause in Contracts

WARRANTIES AND AUTHORITY. 7.1 Each Party warrants and represents to the other Parties with respect to itself that: (a) it is duly formed under the laws of the jurisdiction of its formation; (b) it has the full right, power and authority to execute, deliver and perform this Deed, and has taken all necessary action to authorize its entry into and performance of this Deed, including any authorizations, consents and approvals that are required; and (c) no terms or provision of its constituting documents or the laws of the jurisdiction of its formation, or any agreements or instruments to which it is a party or by which it is bound are breached in the giving, execution and delivery of this Deed and the undertaking and performance of any obligations assumed by it herein.
