Common use of Warranties by Xxxxxx Clause in Contracts

Warranties by Xxxxxx. Xxxxxx warrants that (i) Xxxxxx has validly entered into this Agreement and has the legal power to do so, (ii) the Services shall perform materially in accordance with its documentation, and (iii) the functionality of the Services will not be materially decreased during a subscription term. For any breach of a warranty above, the exclusive remedy shall be as provided in Section 10.4 (Refund or Payment upon Termination) below.
