WARRANTIES OF ESPN. ESPN represents and warrants that (a) it has the right, power and authority to enter into this Agreement, to grant the licenses herein granted, and to fully perform its obligations under this Agreement; (b) the making of this Agreement by it does not violate any agreement existing between it and any other person or entity; (c) it has all necessary rights in and to the Programming and any ESPN Content provided by ESPN hereunder for use within the scope of this Agreement; (d) it complies, and at all times shall comply, with all applicable laws, rules and regulations in effect at the time services are performed pursuant to this Agreement pertaining to the subject matter hereof; and (e) ESPN shall not exercise any of the rights granted to it under or pursuant to this Agreement in a manner that shall violate any applicable law, rule or regulation.
