Common use of WARRANTIES & REPRESENTATIONS Clause in Contracts

WARRANTIES & REPRESENTATIONS. 2.1 Supplier acknowledges that NPML is at all times relying on Supplier’s expertise, knowledge and skill. To that extent, Supplier represents and warrants to NPML that the quantity, quality and description of the Goods (including without limitation all components, raw materials and related work) shall, subject as provided in these terms and conditions, be as specified in NPML’s Purchase Order and/or in any applicable agreement, specification or drawing supplied by NPML to Supplier or agreed in writing (“Specification”). 2.2 The Supplier shall ensure that: (a) the Goods shall comply with and be performed in accordance with all relevant laws, regulations and industry standards, including as to environmental matters and good engineering practices, and when work is performed at NPML’s site, NPML’s health and safety rules and regulations. (b) the Goods supplied shall be new and shall not have been used previously and shall be free from defects in design, material and workmanship, and must be of merchantable quality, and fit for any purpose as specified in NPML’s Purchase Order or by implication made known to Supplier at the time the Purchase Order is placed (the “Purpose”). (c) it shall convey to NPML good title (free and clear from all encumbrances, claims and other defects in title) to all Goods delivered to NPML or to which NPML is entitled to. (d) the Goods, the process of their manufacture and the use of the Goods for the Purpose and any purpose for which they are customarily intended under this sale will not infringe any patent claims or other intellectual property rights of a third party. (e) all documents, including invoices, and all information submitted by it in support of any costs shall constitute a true, accurate and complete description of the Goods, activities and transactions to which they pertain, (f) all samples provided to NPML by Supplier shall be free from defects in design, material and workmanship, and no Goods delivered hereunder shall be of a lesser quality or standard than the corresponding samples or previous supplies received by NPML from Supplier without NPML’s prior written approval. (g) all work and services performed in connection with or related to NPML’s Purchase Order and/or the Goods shall be performed by appropriately qualified and trained personnel, with due care, skill and diligence and to such high standard of quality as is reasonable and all equipment and tools provided will at all times be maintained in first class condition by Supplier. NPML reserves the right to require the replacement of any personnel, tools or equipment that do not comply with the foregoing provisions at Supplier’s cost. 2.3 Where Supplier has the benefit of warranties in relation to components comprised in the Goods, the benefit of such warranties shall be assignable and hereby assigned to NPML. NPML may assign the benefit of warranties provided by Supplier to NPML’s customers and the Supplier shall do all things required by NPML to enable such assignment to be effected. 2.4 Supplier will guarantee that the warranty period will be honoured in the event that the Supplier is acquired by a third party. 2.5 These representations, undertakings and warranties set out in this clause 2 shall survive acceptance of the Goods provided hereunder or termination of the Purchase Order and are in addition to any rights of NPML under any applicable law (including statute) and undertakings of additional scope given to NPML by Supplier. No implied representations, undertakings or warranties are excluded.

To that extent, Supplier represents and warrants to NPML Pall ForteBio Shanghai that the quantity, quality and description of the Goods (including without limitation all components, raw materials and related work) shall, subject as provided in these terms Terms and conditionsConditions of Purchase, be as specified in NPML’s the Purchase Order and/or in any applicable agreement, specification or drawing supplied by NPML Pall ForteBio Shanghai to Supplier or agreed in writing (the “Specification”). 2.2 The Supplier shall ensure that: (a) the Goods shall comply with and be performed in accordance with all relevant laws, regulations and industry standards, including as to environmental matters and good engineering practices, and when work is services are performed at NPMLPall ForteBio Shanghai’s site, NPMLPall ForteBio Shanghai’s health and safety rules and regulations.; (b) the Goods supplied shall be new and shall not have been used previously and shall be free from defects in design, material and workmanship, and must be of merchantable quality, and fit for any purpose as specified in NPML’s the Purchase Order or by implication made known to Supplier at the time the Purchase Order is placed (the “Purpose”).; (c) it shall convey to NPML Pall ForteBio Shanghai good title (free and clear from all encumbrances, claims and other defects in title) to all Goods delivered to NPML Pall ForteBio Shanghai or to which NPML Pall ForteBio Shanghai is entitled to.; (d) the Goods, the process of their manufacture and the use of the Goods for the Purpose and any purpose for which they are customarily intended under this sale will not infringe any patent claims or other intellectual property rights of a third party.; (e) all documents, including invoices, and all information submitted by it in support of any costs shall constitute a true, accurate and complete description of the Goods, activities and transactions to which they pertain,; (f) all samples provided to NPML Pall ForteBio Shanghai by Supplier shall be free from defects in design, material and workmanship, and no Goods delivered hereunder shall be of a lesser quality or standard than the corresponding samples or previous supplies received by NPML Pall ForteBio Shanghai from Supplier without NPMLPall ForteBio Shanghai’s prior written approval.; and (g) all work and services performed in connection with or related to NPML’s the Purchase Order and/or the Goods shall be performed by appropriately qualified and trained personnel, with due care, skill and diligence and to such high standard of quality as is reasonable and all equipment and tools provided will at all times be maintained in first class condition by Supplier. NPML Pall ForteBio Shanghai reserves the right to require the replacement of any personnel, tools or equipment that do not comply with the foregoing provisions at Supplier’s cost. 2.3 Where Supplier has the benefit of warranties in relation to components comprised in the Goods, the benefit of such warranties shall be assignable and hereby assigned to NPMLPall ForteBio Shanghai. NPML Pall ForteBio Shanghai may assign the benefit of warranties provided by Supplier to NPMLPall ForteBio Shanghai’s customers and the Supplier shall do all things required by NPML Pall ForteBio Shanghai to enable such assignment to be effected. 2.4 Supplier will guarantee that the warranty period will be honoured in the event that the Supplier is acquired by a third party. 2.5 These representations, undertakings and warranties set out in this clause Clause 2 shall survive acceptance of the Goods provided hereunder or termination of the Purchase Order and are in addition to any rights of NPML Pall ForteBio Shanghai under any applicable law (including statute) and undertakings of additional scope given to NPML Pall ForteBio Shanghai by Supplier. No implied representations, undertakings or warranties are excluded.

NPML Pall Australia reserves the right to require the replacement of any personnel, tools or equipment that do not comply with the foregoing provisions at Supplier’s cost. 2.3 Where Supplier has the benefit of warranties in relation to components comprised in the Goods, the benefit of such warranties shall be assignable and hereby assigned to NPMLPall Australia. To that extent, Supplier represents and warrants to NPML Pall Thailand that the quantity, quality and description of the Goods (including without limitation all components, raw materials and related work) shall, subject as provided in these terms and conditions, be as specified in NPMLPall Thailand’s Purchase Order and/or in any applicable agreement, specification or drawing supplied by NPML Pall Thailand to Supplier or agreed in writing (“SpecificationSpecifications”). 2.2 The Supplier shall ensure that: (a) the Goods shall comply with and be performed in accordance with all relevant laws, regulations and industry standards, including as to environmental matters and good engineering practices, and when work is performed at NPMLPall Thailand’s site, NPMLPall Thailand’s health and safety rules and regulations. (b) the Goods supplied shall be new and shall not have been used previously and shall be free from defects in design, material and workmanship, and must be of merchantable quality, and fit for any purpose as specified in NPMLPall Thailand’s Purchase Order or by implication made known to Supplier at the time the Purchase Order is placed (the “Purpose”). (c) it shall convey to NPML Pall Thailand good title (free and clear from all encumbrances, claims and other defects in title) to all Goods delivered to NPML Pall Thailand or to which NPML Pall Thailand is entitled to. (d) the Goods, the process of their manufacture and the use of the Goods for the Purpose and any purpose for which they are customarily intended under this sale will not infringe any patent claims or other intellectual property rights of a third party. (e) all documents, including invoices, and all information submitted by it in support of any costs shall constitute a true, accurate and complete description of the Goods, activities and transactions to which they pertain, (f) all samples provided to NPML Pall Thailand by Supplier shall be free from defects in design, material and workmanship, and no Goods delivered hereunder shall be of a lesser quality or standard than the corresponding samples or previous supplies received by NPML Pall Thailand from Supplier without NPMLPall Thailand’s prior written approval. (g) all work and services performed in connection with or related to NPMLPall Thailand’s Purchase Order and/or the Goods shall be performed by appropriately qualified and trained personnel, with due care, skill and diligence and to such high standard of quality as is reasonable and all equipment and tools provided will at all times be maintained in first class condition by Supplier. No implied representations, undertakings or warranties are excluded.

To that extent, Supplier represents and warrants to NPML Pall Taiwan that the quantity, quality and description of the Goods (including without limitation all components, raw materials and related work) shall, subject as provided in these terms and conditions, be as specified in NPMLPall Taiwan’s Purchase Order and/or in any applicable agreement, specification or drawing supplied by NPML Pall Taiwan to Supplier or agreed in writing (“Specification”). 2.2 The Supplier shall ensure that: (a) the Goods shall comply with and be performed in accordance with all relevant laws, regulations and industry standards, including as to environmental matters and good engineering practices, and when work is performed at NPMLPall Taiwan’s site, NPMLPall Taiwan’s health and safety rules and regulations.; (b) the Goods supplied shall be new and shall not have been used previously and shall be free from defects in design, material and workmanship, and must be of merchantable quality, and fit for any purpose as specified in NPML’s the Purchase Order or by implication made known to Supplier at the time the Pall Taiwan’s Purchase Order is placed (the “Purpose”).; (c) it shall convey to NPML Pall Taiwan good title (free and clear from all encumbrances, claims and other defects in title) to all Goods delivered to NPML Pall Taiwan or to which NPML Pall Taiwan is entitled to.; (d) the Goods, the process of their manufacture and the use of the Goods for the Purpose and any purpose for which they are customarily intended under this sale will not infringe any patent claims or other intellectual property rights of a third party.; (e) all documents, including invoices, and all information submitted by it in support of any costs shall constitute a true, accurate and complete description of the Goods, activities and transactions to which they pertain,; (f) all samples provided to NPML Pall Taiwan by Supplier shall be free from defects in design, material and workmanship, and no Goods delivered hereunder shall be of a lesser quality or standard than the corresponding samples or previous supplies received by NPML Pall Taiwan from Supplier without NPMLPall Taiwan’s prior written approval.; and (g) all work and services performed in connection with or related to NPMLPall Taiwan’s Purchase Order and/or the Goods shall be performed by appropriately qualified and trained personnel, with due care, skill and diligence and to such high standard of quality as is reasonable and all equipment and tools provided will at all times be maintained in first class condition by Supplier. To that extent, Supplier represents and warrants to NPML Pall Malaysia that the quantity, quality and description of the Goods (including without limitation all components, raw materials and related work) shall, subject save as provided in these terms and conditions, be as specified in NPML’s the Purchase Order and/or in any applicable agreement, specification or drawing supplied by NPML Pall Malaysia to Supplier or agreed in writing (“Specification”). 2.2 The Supplier shall ensure that: (a) the Goods shall comply with and be performed in accordance with all relevant laws, regulations and industry standards, including as to that governing environmental matters and good engineering practices, and when work is performed at NPMLPall Malaysia’s site, NPMLPall Malaysia’s health and safety rules and regulations.; (b) the Goods supplied shall be new and shall not have been used previously and shall be free from defects in design, material and workmanship, and must be of merchantable quality, and fit for any purpose as specified in NPML’s the Purchase Order or by implication made known to Supplier at the time the Purchase Order is placed (the “Purpose”).; (c) it shall convey to NPML Pall Malaysia good title (free and clear from all encumbrances, claims and other defects in title) to all Goods delivered to NPML Pall Malaysia or to which NPML Pall Malaysia is entitled to.entitled; (d) the Goods, the process of their manufacture and the use of the Goods for the Purpose and any purpose for which they are customarily intended under this sale will not infringe any patent claims or other intellectual property rights of a third party.; (e) all documents, including invoices, and all information submitted by it in support of any costs shall constitute a true, accurate and complete description of the Goods, activities and transactions to which they pertain,; (f) all samples provided to NPML Pall Malaysia by Supplier shall be free from defects in design, material and workmanship, and no Goods delivered hereunder shall be of a lesser quality or standard than the corresponding samples or previous supplies received by NPML Pall Malaysia from Supplier without NPMLPall Malaysia’s prior written approval.; and (g) all work and services performed in connection with or related to NPML’s the Purchase Order and/or the Goods shall be performed by appropriately qualified and trained personnel, with due care, skill and diligence and to such high standard of quality as is reasonable and all equipment and tools provided will at all times be maintained in first class condition by Supplier. To that extent, Supplier represents and warrants to NPML Pall Korea that the quantity, quality and description of the Goods (including without limitation all components, raw materials and related work) shall, subject as provided in these terms and conditions, be as specified in NPMLPall Korea’s Purchase Order and/or in any applicable agreement, specification or drawing supplied by NPML Pall Korea to Supplier or agreed in writing (“Specification”). 2.2 The Supplier shall ensure that: (a) the Goods shall comply with and be performed in accordance with all relevant laws, regulations and industry standards, including as to environmental matters and good engineering practices, and when work is performed at NPMLPall Korea’s site, NPMLPall Korea’s health and safety rules and regulations. (b) the Goods supplied shall be new and shall not have been used previously and shall be free from defects in design, material and workmanship, and must be of merchantable quality, and fit for any purpose as specified in NPMLPall Korea’s Purchase Order or by implication made known to Supplier at the time the Purchase Order is placed (the “Purpose”). (c) it shall convey to NPML Pall Korea good title (free and clear from all encumbrances, claims and other defects in title) to all Goods delivered to NPML Pall Korea or to which NPML Pall Korea is entitled to. (d) the Goods, the process of their manufacture and the use of the Goods for the Purpose and any purpose for which they are customarily intended under this sale will not infringe any patent claims or other intellectual property rights of a third party. (e) all documents, including invoices, and all information submitted by it in support of any costs shall constitute a true, accurate and complete description of the Goods, activities and transactions to which they pertain, (f) all samples provided to NPML Pall Korea by Supplier shall be free from defects in design, material and workmanship, and no Goods delivered hereunder shall be of a lesser quality or standard than the corresponding samples or previous supplies received by NPML Pall Korea from Supplier without NPMLPall Korea’s prior written approval. (g) all work and services performed in connection with or related to NPMLPall Korea’s Purchase Order and/or the Goods shall be performed by appropriately qualified and trained personnel, with due care, skill and diligence and to such high standard of quality as is reasonable and all equipment and tools provided will at all times be maintained in first class condition by Supplier. NPML Pall Korea reserves the right to require the replacement of any personnel, tools or equipment that do not comply with the foregoing provisions at Supplier’s cost. 2.3 Where Supplier has the benefit of warranties in relation to components comprised in the Goods, the benefit of such warranties shall be assignable and hereby assigned to NPMLPall Korea. NPML Pall Korea may assign the benefit of warranties provided by Supplier to NPMLPall Korea’s customers and the Supplier shall do all things required by NPML Pall Korea to enable such assignment to be effected. 2.4 Supplier will guarantee that the warranty period will be honoured in the event that the Supplier is acquired by a third party. 2.5 These representations, undertakings and warranties set out in this clause 2 shall survive acceptance of the Goods provided hereunder or termination of the Purchase Order and are in addition to any rights of NPML Pall Korea under any applicable law (including statute) and undertakings of additional scope given to NPML Pall Korea by Supplier. No implied representations, undertakings or warranties are excluded.

WARRANTIES & REPRESENTATIONS. 2.1 Supplier acknowledges that NPML Pall Singapore is at all times relying on Supplier’s expertise, knowledge and skill. To that extent, Supplier represents and warrants to NPML Pall Singapore that the quantity, quality and description of the Goods (including without limitation all components, raw materials and related work) shall, subject as provided in these terms and conditions, be as specified in NPMLPall Singapore’s Purchase Order and/or in any applicable agreement, specification or drawing supplied by NPML Pall Singapore to Supplier or agreed in writing (“Specification”). 2.2 The Supplier shall ensure that: (a) the Goods shall comply with and be performed in accordance with all relevant laws, regulations and industry standards, including as to environmental matters and good engineering practices, and when work is performed at NPMLPall Singapore’s site, NPMLPall Singapore’s health and safety rules and regulations.; (b) the Goods supplied shall be new and shall not have been used previously and shall be free from defects in design, material and workmanship, and must be of merchantable quality, and fit for any purpose as specified in NPML’s the Purchase Order or by implication made known to Supplier at the time the Pall Singapore’s Purchase Order is placed (the “Purpose”).; (c) it shall convey to NPML Pall Singapore good title (free and clear from all encumbrances, claims and other defects in title) to all Goods delivered to NPML Pall Singapore or to which NPML Pall Singapore is entitled to.; (d) the Goods, the process of their manufacture and the use of the Goods for the Purpose and any purpose for which they are customarily intended under this sale will not infringe any patent claims or other intellectual property rights of a third party.; (e) all documents, including invoices, and all information submitted by it in support of any costs shall constitute a true, accurate and complete description of the Goods, activities and transactions to which they pertain,; (f) all samples provided to NPML Pall Singapore by Supplier shall be free from defects in design, material and workmanship, and no Goods delivered hereunder shall be of a lesser quality or standard than the corresponding samples or previous supplies received by NPML Pall Singapore from Supplier without NPMLPall Singapore’s prior written approval.; and (g) all work and services performed in connection with or related to NPMLPall Singapore’s Purchase Order and/or the Goods shall be performed by appropriately qualified and trained personnel, with due care, skill and diligence and to such high standard of quality as is reasonable and all equipment and tools provided will at all times be maintained in first class condition by Supplier. WARRANTIES & REPRESENTATIONS. 2.1 Supplier acknowledges that NPML Pall India is at all times relying on Supplier’s expertise, knowledge and skill. To that extent, Supplier represents and warrants to NPML Pall India that the quantity, quality and description of the Goods (including without limitation all components, raw materials and related work) shall, subject as provided in these terms and conditions, be as specified in NPMLPall India’s Purchase Order and/or in any applicable agreement, specification or drawing supplied by NPML Pall India to Supplier or agreed in writing (“Specification”). 2.2 The Supplier shall ensure that: (a) the Goods shall comply with and be performed in accordance with all relevant laws, regulations and industry standards, including as to environmental matters and good engineering practices, and when work is performed at NPMLPall India’s site, NPMLPall India’s health and safety rules and regulations.; (b) the Goods supplied shall be new and shall not have been used previously and shall be free from defects in design, material and workmanship, and must be of merchantable quality, and fit for any purpose as specified in NPML’s the Purchase Order or by implication made known to Supplier at the time the Pall India’s Purchase Order is placed (the “Purpose”).; (c) it shall convey to NPML Pall India good title (free and clear from all encumbrances, claims and other defects in title) to all Goods delivered to NPML Pall India or to which NPML Pall India is entitled to.; (d) the Goods, the process of their manufacture and the use of the Goods for the Purpose and any purpose for which they are customarily intended under this sale will not infringe any patent claims or other intellectual property rights of a third party.; (e) all documents, including invoices, and all information submitted by it in support of any costs shall constitute a true, accurate and complete description of the Goods, activities and transactions to which they pertain,; (f) all samples provided to NPML Pall India by Supplier shall be free from defects in design, material and workmanship, and no Goods delivered hereunder shall be of a lesser quality or standard than the corresponding samples or previous supplies received by NPML Pall India from Supplier without NPMLPall India’s prior written approval.; and (g) all work and services performed in connection with or related to NPMLPall India’s Purchase Order and/or the Goods shall be performed by appropriately qualified and trained personnel, with due care, skill and diligence and to such high standard of quality as is reasonable and all equipment and tools provided will at all times be maintained in first class condition by Supplier. NPML Pall India reserves the right to require the replacement of any personnel, tools or equipment that do not comply with the foregoing provisions at Supplier’s cost. 2.3 Where Supplier has the benefit of warranties in relation to components comprised in the Goods, the benefit of such warranties shall be assignable and hereby assigned to NPMLPall India. NPML Pall India may assign the benefit of warranties provided by Supplier to NPMLPall India’s customers and the Supplier shall do all things required by NPML Pall India to enable such assignment assigned warranties to be effected. 2.4 Supplier will guarantee that the warranty period will be honoured in the event that the Supplier is acquired by a third party. 2.5 These representations, undertakings and warranties set out in this clause 2 shall survive acceptance of the Goods provided hereunder or termination of the Purchase Order and are in addition to any rights of NPML Pall India under any applicable law (including statute) and undertakings of additional scope given to NPML Pall India by Supplier. WARRANTIES & REPRESENTATIONS. 2.1 Supplier acknowledges that NPML Pall Malaysia is at all times relying on Supplier’s expertise, knowledge and skill. To that extent, Supplier represents and warrants to NPML Pall Malaysia that the quantity, quality and description of the Goods (including without limitation all components, raw materials and related work) shall, subject as provided in these terms and conditions, be as specified in NPMLPall Malaysia’s Purchase Order and/or in any applicable agreement, specification or drawing supplied by NPML Pall Malaysia to Supplier or agreed in writing (“Specification”). 2.2 The Supplier shall ensure that: (a) the Goods shall comply with and be performed in accordance with all relevant laws, regulations and industry standards, including as to environmental matters and good engineering practices, and when work is performed at NPMLPall Malaysia’s site, NPMLPall Malaysia’s health and safety rules and regulations.; (b) the Goods supplied shall be new and shall not have been used previously and shall be free from defects in design, material and workmanship, and must be of merchantable quality, and fit for any purpose as specified in NPML’s the Purchase Order or by implication made known to Supplier at the time the Pall Malaysia’s Purchase Order is placed (the “Purpose”).; (c) it shall convey to NPML Pall Malaysia good title (free and clear from all encumbrances, claims and other defects in title) to all Goods delivered to NPML Pall Malaysia or to which NPML Pall Malaysia is entitled to.; (d) the Goods, the process of their manufacture and the use of the Goods for the Purpose and any purpose for which they are customarily intended under this sale will not infringe any patent claims or other intellectual property rights of a third party.; (e) all documents, including invoices, and all information submitted by it in support of any costs shall constitute a true, accurate and complete description of the Goods, activities and transactions to which they pertain,; (f) all samples provided to NPML Pall Malaysia by Supplier shall be free from defects in design, material and workmanship, and no Goods delivered hereunder shall be of a lesser quality or standard than the corresponding samples or previous supplies received by NPML Pall Malaysia from Supplier without NPMLPall Malaysia’s prior written approval.; and (g) all work and services performed in connection with or related to NPMLPall Malaysia’s Purchase Order and/or the Goods shall be performed by appropriately qualified and trained personnel, with due care, skill and diligence and to such high standard of quality as is reasonable and all equipment and tools provided will at all times be maintained in first class condition by Supplier. NPML Pall Malaysia reserves the right to require the replacement of any personnel, tools or equipment that do not comply with the foregoing provisions at Supplier’s cost. 2.3 Where Supplier has the benefit of warranties in relation to components comprised in the Goods, the benefit of such warranties shall be assignable and hereby assigned to NPMLPall Malaysia. WARRANTIES & REPRESENTATIONS. 2.1 Supplier acknowledges that NPML Pall Taiwan is at all times relying on Supplier’s expertise, knowledge and skill. To that extent, Supplier represents and warrants to NPML Pall Taiwan that the quantity, quality and description of the Goods (including without limitation all components, raw materials and related work) shall, subject as provided in these terms and conditions, be as specified in NPMLPall Taiwan’s Purchase Order and/or in any applicable agreement, specification or drawing supplied by NPML Pal Taiwan to Supplier or agreed in writing (“Specification”). 2.2 The Supplier shall ensure that: (a) the Goods shall comply with and be performed in accordance with all relevant laws, regulations and industry standards, including as to environmental matters and good engineering practices, and when work is performed at NPMLPall Taiwan’s site, NPMLPall Taiwan’s health and safety rules and regulations.; (b) the Goods supplied shall be new and shall not have been used us ed previously and shall be free from defects in design, material and workmanship, and must be of merchantable quality, and fit for any purpose as specified in NPML’s the Purchase Order or by implication made known to Supplier at the time the Pall Taiwan’s Purchase Order is placed (the “Purpose”).; (c) it shall convey to NPML Pall Taiwan good title (free and clear from all encumbrances, claims and other defects in title) to all Goods delivered to NPML Pall Taiwan or to which NPML Pall Taiwan is entitled to.; (d) the Goods, the process of their manufacture and the use of the Goods for the Purpose and any purpose for which they are customarily intended under this sale will not infringe any patent claims or other intellectual property rights of a third party.; (e) all documents, including invoices, and all information submitted by it in support of any costs shall constitute a true, accurate and complete description of the Goods, activities and transactions to which they pertain,pertain ; (f) all samples provided to NPML Pall Taiwan by Supplier shall be free from defects in design, material and workmanship, and no Goods delivered hereunder shall be of a lesser quality or standard than the corresponding samples or previous supplies received by NPML Pall Taiwan from Supplier without NPMLPall Taiwan’s prior written approval.; and (g) all work and services performed in connection with or related to NPMLPall Taiwan’s Purchase Order and/or the Goods shall be performed by appropriately qualified and trained personnel, with due care, skill and diligence and to such high standard of quality as is reasonable and all equipment and tools provided will at all times be maintained in first class condition by Supplier. NPML Pall Taiwan reserves the right to require the replacement of any personnel, tools or equipment that do not comply with the foregoing provisions at Supplier’s cost. 2.3 Where Supplier has the benefit of warranties in relation to components comprised in the Goods, the benefit of such warranties shall be assignable and hereby assigned to NPMLPall Taiwan. To that extent, Supplier represents and warrants to NPML Pall Korea that the quantity, quality and description of the Goods (including without limitation all componentscomponen ts, raw materials and related work) shall, subject as provided in these terms and conditions, be as specified in NPMLPall Korea’s Purchase Order and/or in any applicable agreement, specification or drawing supplied by NPML Pall Korea to Supplier or agreed in writing (““ Specification”). 2.2 The Supplier shall ensure that: (a) the Goods shall comply with and be performed in accordance with all relevant laws, regulations and industry standards, including includ ing as to environmental matters and good engineering practices, and when work is performed at NPMLPall Korea’s site, NPMLPall Korea’s health and safety rules and regulations.; (b) the Goods supplied shall be new and shall not have been used previously and shall be free from defects in design, material and an d workmanship, and must be of merchantable quality, and fit for any purpose as specified in NPML’s the Purchase Order or by implication made known to Supplier at the time the Pall Korea’s Purchase Order is placed (the “Purpose”).; (c) it shall convey to NPML Pall Korea good title (free and clear from all encumbrances, claims and other defects in title) to all Goods delivered to NPML Pall Korea or to which NPML Pall Korea is entitled to.; (d) the Goods, the process of their manufacture and the use of the Goods for the Purpose and any purpose for which they are customarily intended under this sale will not infringe any patent claims or other intellectual property rights of a third party.; (e) all documents, including invoices, and all information submitted by it in support of any costs shall constitute a true, accurate accur ate and complete description of the Goods, activities and transactions to which they pertain,; (f) all samples provided to NPML Pall Korea by Supplier shall be free from defects in design, material and workmanship, and no Goods delivered hereunder shall be of a lesser quality or standard than the corresponding samples or previous supplies received by NPML Pall Korea from Supplier without NPMLPall Korea’s prior written approval.; and (g) all work and services performed in connection with or related to NPMLPall Korea’s Purchase Order and/or the Goods shall be performed perfor med by appropriately qualified and trained personnel, with due care, skill and diligence and to such high standard of quality as is reasonable and all equipment and tools provided will at all times be maintained in first class condition by Supplier. NPML Pall Korea reserves the right to require the replacement of any personnel, tools or equipment that do not comply with the foregoing provisions at Supplier’s cost. 2.3 Where Supplier has the benefit of warranties in relation to components comprised in the Goods, the benefit of such warranties shall be assignable and hereby assigned to NPMLPall Korea. To that extent, Supplier represents and warrants to NPML Pall New Zealand that the quantity, quality and description of the Goods (including without limitation all components, raw materials and related work) shall, subject as provided in these terms and conditions, be as specified in NPMLPall New Zealand’s Purchase Order and/or in any applicable agreement, specification or drawing supplied by NPML Pall New Zealand to Supplier or agreed in writing (“Specification”). 2.2 The Supplier shall ensure that: (a) the Goods shall comply with and be performed in accordance with all relevant laws, regulations and industry standards, including as to environmental matters and good engineering practices, and when work is performed at NPMLPall New Zealand’s site, NPMLPall New Zealand’s health and safety rules and regulations.; (b) the Goods supplied shall be new and shall not have been used previously and shall be free from defects in design, material and workmanship, and must be of merchantable quality, and fit for any purpose as specified in NPML’s the Purchase Order or by implication made known to Supplier at the time the Pall New Zealand’s Purchase Order is placed (the “Purpose”).’ (c) it shall convey to NPML Pall New Zealand good title (free and clear from all encumbrances, claims and other defects in title) to all Goods delivered to NPML Pall New Zealand or to which NPML Pall New Zealand is entitled to.; (d) the Goods, the process of their manufacture and the use of the Goods for the Purpose and any purpose for which they are customarily intended under this sale will not infringe any patent claims or other intellectual property rights of a third party.; (e) all documents, including invoices, and all information submitted by it in support of any costs shall constitute a true, accurate and complete description of the Goods, activities and transactions to which they pertain,; (f) all samples provided to NPML Pall New Zealand by Supplier shall be free from defects in design, material and workmanship, and no Goods delivered hereunder shall be of a lesser quality or standard than the corresponding samples or previous supplies received by NPML Pall New Zealand from Supplier without NPMLPall New Zealand’s prior written approval.; and (g) all work and services performed in connection with or related to NPMLPall New Zealand’s Purchase Order and/or the Goods shall be performed by appropriately qualified and trained personnel, with due care, skill and diligence and to such high standard of quality as is reasonable and all equipment and tools provided will at all times be maintained in first class condition by Supplier. NPML Pall New Zealand reserves the right to require the replacement of any personnel, tools or equipment that do not comply with the foregoing provisions at Supplier’s cost. 2.3 Where Supplier has the benefit of warranties in relation to components comprised in the Goods, the benefit of such warranties shall be assignable and hereby assigned to NPMLPall New Zealand. (g) all work and services performed in connection with or related to NPMLPall’s Purchase Order and/or the Goods shall be performed by appropriately qualified and trained personnel, with due care, skill and diligence and to such high standard of quality as is reasonable and all equipment and tools provided will at all times be maintained in first class condition by Supplier. NPML Pall reserves the right to require the replacement of any personnel, tools or equipment that do not comply with the foregoing provisions at Supplier’s cost. 2.3 Where Supplier has the benefit of warranties in relation to components comprised in the Goods, the benefit of such warranties shall be assignable and are hereby assigned to NPMLPall. NPML may Supplier agrees and Pall shall have the right to assign the benefit of warranties provided by Supplier to NPMLPall’s customers and the Supplier shall do all things required by NPML Pall to enable such assignment to be effected. 2.4 Supplier will guarantee that the warranty period will be honoured in the event that the Supplier Supplier’s business is acquired by a third party. 2.5 These representations, undertakings and warranties set out in this clause 2 shall survive acceptance of the Goods provided hereunder or termination of the Purchase Order and are in addition to any rights of NPML Pall under any applicable law (including statute) and undertakings of additional scope given to NPML Pall by Supplier. No implied representations, undertakings or warranties are excluded.

To that extent, Supplier represents and warrants to NPML Pall that the quantity, quality and description of the Goods (including without limitation all components, raw materials and related work) shall, subject as provided in these terms and conditions, be as specified in NPMLPall Singapore’s Purchase Order and/or in any applicable agreement, specification or drawing supplied by NPML Pall Singapore to Supplier or agreed in writing (“Specification”). 2.2 The Supplier shall ensure that: (a) the Goods shall comply with and be performed in accordance with all relevant laws, regulations and industry standards, including as to environmental matters and good engineering practices, and when work is performed at NPMLPall Singapore’s site, NPMLPall Singapore’s health and safety rules and regulations.; (b) the Goods supplied shall be new and shall not have been used previously and shall be free from defects in design, material and workmanship, and must be of merchantable quality, and fit for any purpose as specified in NPML’s the Purchase Order or by implication made known to Supplier at the time the Pall Singapore’s Purchase Order is placed (the “Purpose”).; (c) it shall convey to NPML Pall Singapore good title (free and clear from all encumbrances, claims and other defects in title) to all Goods delivered to NPML Pall Singapore or to which NPML Pall Singapore is entitled to.; (d) the Goods, the process of their manufacture and the use of the Goods for the Purpose and any purpose for which they are customarily intended under this sale will not infringe any patent claims or other intellectual property rights of a third party.; (e) all documents, including invoices, and all information submitted by it in support of any costs shall constitute a true, accurate and complete description of the Goods, activities and transactions to which they pertain,; (f) all samples provided to NPML Pall Singapore by Supplier shall be free from defects in design, material and workmanship, and no Goods delivered hereunder shall be of a lesser quality or standard than the corresponding samples or previous supplies received by NPML Pall Singapore from Supplier without NPMLPall Singapore’s prior written approval.; and (g) all work and services performed in connection with or related to NPMLPall Singapore’s Purchase Order and/or the Goods shall be performed by appropriately qualified and trained personnel, with due care, skill and diligence and to such high standard of quality as is reasonable and all equipment and tools provided will at all times be maintained in first class condition by Supplier. NPML Pall Singapore reserves the right to require the replacement of any personnel, tools or equipment that do not comply with the foregoing provisions at Supplier’s cost. 2.3 Where Supplier has the benefit of warranties in relation to components comprised in the Goods, the benefit of such warranties shall be assignable and hereby assigned to NPMLPall Singapore. NPML Pall Singapore may assign the benefit of warranties provided by Supplier to NPMLPall Singapore’s customers and the Supplier shall do all things required by NPML Pall Singapore to enable such assignment assigned warranties to be effected. 2.4 Supplier will guarantee that the warranty period will be honoured in the event that the Supplier is acquired by a third party. 2.5 These representations, undertakings and warranties set out in this clause 2 shall survive acceptance of the Goods provided hereunder or termination of the Purchase Order and are in addition to any rights of NPML Pall Singapore under any applicable law (including statute) and undertakings of additional scope given to NPML Pall Singapore by Supplier. No implied representations, undertakings or warranties are excluded.

WARRANTIES & REPRESENTATIONS. 2.1 Supplier acknowledges that NPML Pall India is at all times relying on Supplier’s expertise, knowledge and skill. To that extent, Supplier represents and warrants to NPML Pall India that the quantity, quality and description of the Goods (including without limitation all components, raw materials and related work) shall, subject as provided in these terms and conditions, be as specified in NPMLPall India’s Purchase Order and/or in any applicable agreement, specification or drawing supplied by NPML Pall India to Supplier or agreed in writing (“Specification”). 2.2 The Supplier shall ensure that: (a) the Goods shall comply with and be performed in accordance with all relevant laws, regulations and industry standards, including as to environmental matters and good engineering practices, and when work is performed at NPMLPall India’s site, NPMLPall India’s health and safety rules and regulations. (b) the Goods supplied shall be new and shall not have been used previously and shall be free from defects in design, material and workmanship, and must be of merchantable quality, and fit for any purpose as specified in NPMLPall India’s Purchase Order or by implication made known to Supplier at the time the Purchase Order is placed (the “Purpose”). (c) it shall convey to NPML Pall India good title (free and clear from all encumbrances, claims and other defects in title) to all Goods delivered to NPML Pall India or to which NPML Pall India is entitled to. (d) the Goods, the process of their manufacture and the use of the Goods for the Purpose and any purpose for which they are customarily intended under this sale will not infringe any patent claims or other intellectual property rights of a third party. (e) all documents, including invoices, and all information submitted by it in support of any costs shall constitute a true, accurate and complete description of the Goods, activities and transactions to which they pertain, (f) all samples provided to NPML Pall India by Supplier shall be free from defects in design, material and workmanship, and no Goods delivered hereunder shall be of a lesser quality or standard than the corresponding samples or previous supplies received by NPML Pall India from Supplier without NPMLPall India’s prior written approval. (g) all work and services performed in connection with or related to NPMLPall India’s Purchase Order and/or the Goods shall be performed by appropriately qualified and trained personnel, with due care, skill and diligence and to such high standard of quality as is reasonable and all equipment and tools provided will at all times be maintained in first class condition by Supplier. NPML Pall India reserves the right to require the replacement of any personnel, tools or equipment that do not comply with the foregoing provisions at Supplier’s cost. 2.3 Where Supplier has the benefit of warranties in relation to components comprised in the Goods, the benefit of such warranties shall be assignable and hereby assigned to NPMLPall India. (d) the Goods, the process of their manufacture and the use of the Goods for the Purpose and any purpose for which they are customarily intended under this sale will not infringe any patent claims or other intellectual property rights of a third party.; (e) all documents, including invoices, and all information submitted by it in support of any costs shall constitute a true, accurate and complete description of the Goods, activities and transactions to which they pertain,; (f) all samples provided to NPML by Supplier shall be free from defects in design, material and workmanship, and no Goods delivered hereunder shall be of a lesser quality or standard than the corresponding samples or previous supplies received by NPML from Supplier without NPML’s prior written approval.; and (g) all work and services performed in connection with or related to NPML’s Purchase Order and/or the Goods shall be performed by appropriately qualified and trained personnel, with due care, skill and diligence and to such high standard of quality as is reasonable and all equipment and tools provided will at all times be maintained in first class condition by Supplier. To that extent, Supplier represents and warrants to NPML Pall Australia that the quantity, quality and description of the Goods (including without limitation all components, raw materials and related work) shall, subject as provided in these terms and conditions, be as specified in NPMLPall Australia’s Purchase Order and/or in any applicable agreement, specification or drawing supplied by NPML Pall Australia to Supplier or agreed in writing (“Specification”). 2.2 The Supplier shall ensure that: (a) the Goods shall comply with and be performed in accordance with all relevant laws, regulations and industry standards, including as to environmental matters and good engineering practices, and when work is performed at NPMLPall Australia’s site, NPMLPall Australia’s health and safety rules and regulations.; (b) the Goods supplied shall be new and shall not have been used previously and shall be free from defects in design, material and workmanship, and must be of merchantable quality, and fit for any purpose as specified in NPML’s the Purchase Order or by implication made known to Supplier at the time the Pall Australia’s Purchase Order is placed (the “Purpose”).; (c) it shall convey to NPML Pall Australia good title (free and clear from all encumbrances, claims and other defects in title) to all Goods delivered to NPML Pall Australia or to which NPML Pall Australia is entitled to.; (d) the Goods, the process of their manufacture and the use of the Goods for the Purpose and any purpose for which they are customarily intended under this sale will not infringe any patent claims or other intellectual property rights of a third party.; (e) all documents, including invoices, and all information submitted by it in support of any costs shall constitute a true, accurate and complete description of the Goods, activities and transactions to which they pertain,; (f) all samples provided to NPML Pall Australia by Supplier shall be free from defects in design, material and workmanship, and no Goods delivered hereunder shall be of a lesser quality or standard than the corresponding samples or previous supplies received by NPML Pall Australia from Supplier without NPMLPall Australia’s prior written approval.; and (g) all work and services performed in connection with or related to NPMLPall Australia’s Purchase Order and/or the Goods shall be performed by appropriately qualified and trained personnel, with due care, skill and diligence and to such high standard of quality as is reasonable and all equipment and tools provided will at all times be maintained in first class condition by Supplier. NPML Pall Australia reserves the right to require the replacement of any personnel, tools or equipment that do not comply with the foregoing provisions at Supplier’s cost. 2.3 Where Supplier has the benefit of warranties in relation to components comprised in the Goods, the benefit of such warranties shall be assignable and hereby assigned to NPMLPall Australia. To that extent, Supplier represents and warrants to NPML Pall Beijing that the quantity, quality and description of the Goods (including without limitation all components, raw materials and related work) shall, subject as provided in these terms Terms and conditionsConditions of Purchase, be as specified in NPML’s the Purchase Order and/or in any applicable agreement, specification or drawing supplied by NPML Pall Beijing to Supplier or agreed in writing (the “Specification”). 2.2 The Supplier shall ensure that: (a) the Goods shall comply with and be performed in accordance with all relevant laws, regulations and industry standards, including as to environmental matters and good engineering practices, and when work is services are performed at NPMLPall Beijing’s site, NPMLPall Beijing’s health and safety rules and regulations.; (b) the Goods supplied shall be new and shall not have been used previously and shall be free from defects in design, material and workmanship, and must be of merchantable quality, and fit for any purpose as specified in NPML’s the Purchase Order or by implication made known to Supplier at the time the Purchase Order is placed (the “Purpose”).; (c) it shall convey to NPML Pall Beijing good title (free and clear from all encumbrances, claims and other defects in title) to all Goods delivered to NPML Pall Beijing or to which NPML Pall Beijing is entitled to.; (d) the Goods, the process of their manufacture and the use of the Goods for the Purpose and any purpose for which they are customarily intended under this sale will not infringe any patent claims or other intellectual property rights of a third party.; (e) all documents, including invoices, and all information submitted by it in support of any costs shall constitute a true, accurate and complete description of the Goods, activities and transactions to which they pertain,; (f) all samples provided to NPML Pall Beijing by Supplier shall be free from defects in design, material and workmanship, and no Goods delivered hereunder shall be of a lesser quality or standard than the corresponding samples or previous supplies received by NPML Pall Beijing from Supplier without NPMLPall Beijing’s prior written approval.; and (g) all work and services performed in connection with or related to NPML’s the Purchase Order and/or the Goods shall be performed by appropriately qualified and trained personnel, with due care, skill and diligence and to such high standard of quality as is reasonable and all equipment and tools provided will at all times be maintained in first class condition by Supplier. NPML Pall Beijing reserves the right to require the replacement of any personnel, tools or equipment that do not comply with the foregoing provisions at Supplier’s cost. 2.3 Where Supplier has the benefit of warranties in relation to components comprised in the Goods, the benefit of such warranties shall be assignable and hereby assigned to NPMLPall Beijing. NPML Pall Beijing may assign the benefit of warranties provided by Supplier to NPMLPall Beijing’s customers and the Supplier shall do all things required by NPML Pall Beijing to enable such assignment to be effected. 2.4 Supplier will guarantee that the warranty period will be honoured in the event that the Supplier is acquired by a third party. 2.5 These representations, undertakings and warranties set out in this clause Clause 2 shall survive acceptance of the Goods provided hereunder or termination of the Purchase Order and are in addition to any rights of NPML Pall Beijing under any applicable law (including statute) and undertakings of additional scope given to NPML Pall Beijing by Supplier. To that extent, Supplier represents and warrants to NPML Pall New Zealand that the quantity, quality and description of the Goods (including without limitation all components, raw materials and related work) shall, subject as provided in these terms and conditions, be as specified in NPMLPall New Zealand’s Purchase Order and/or in any applicable agreement, specification or drawing supplied by NPML Pall New Zealand to Supplier or agreed in writing (“Specification”). 2.2 The Supplier shall ensure that: (a) the Goods shall comply with and be performed in accordance with all relevant laws, regulations and industry standards, including as to environmental matters and good engineering practices, and when work is performed at NPMLPall New Zealand’s site, NPMLPall New Zealand’s health and safety rules and regulations.; (b) the Goods supplied shall be new and shall not have been used previously and shall be free from defects in design, material and workmanship, and must be of merchantable quality, and fit for any purpose as specified in NPML’s the Purchase Order or by implication made known to Supplier at the time the Pall New Zealand’s Purchase Order is placed (the “Purpose”).; (c) it shall convey to NPML Pall New Zealand good title (free and clear from all encumbrances, claims and other defects in title) to all Goods delivered to NPML Pall New Zealand or to which NPML Pall New Zealand is entitled to.; (d) the Goods, the process of their manufacture and the use of the Goods for the Purpose and any purpose for which they are customarily intended under this sale will not infringe any patent claims or other intellectual property rights of a third party.; (e) all documents, including invoices, and all information submitted by it in support of any costs shall constitute a true, accurate and complete description of the Goods, activities and transactions to which they pertain,; (f) all samples provided to NPML Pall New Zealand by Supplier shall be free from defects in design, material and workmanship, and no Goods delivered hereunder shall be of a lesser quality or standard than the corresponding samples or previous supplies received by NPML Pall New Zealand from Supplier without NPMLPall New Zealand’s prior written approval.; and (g) all work and services performed in connection with or related to NPMLPall New Zealand’s Purchase Order and/or the Goods shall be performed by appropriately qualified and trained personnel, with due care, skill and diligence and to such high standard of quality as is reasonable and all equipment and tools provided will at all times be maintained in first class condition by Supplier. NPML Pall New Zealand reserves the right to require the replacement of any personnel, tools or equipment that do not comply with the foregoing provisions at Supplier’s cost. 2.3 Where Supplier has the benefit of warranties in relation to components comprised in the Goods, the benefit of such warranties shall be assignable and hereby assigned to NPMLPall New Zealand. (c) it shall convey to NPML Pall Singapore good title (free and clear from all encumbrances, claims and other defects in title) to all Goods delivered to NPML Pall Singapore or to which NPML Pall Singapore is entitled to. (d) the Goods, the process of their manufacture and the use of the Goods for the Purpose and any purpose for which they are customarily intended under this sale will not infringe any patent claims or other intellectual property rights of a third party. (e) all documents, including invoices, and all information submitted by it Supplier in support of any costs shall constitute a true, accurate and complete description of the Goods, activities and transactions to which they pertainpertain save for manifest error, (f) all samples provided to NPML Pall Singapore by Supplier shall be free from defects in design, material and workmanship, and no Goods delivered hereunder shall be of a lesser quality or standard than the corresponding samples or previous supplies received by NPML Pall Singapore from Supplier without NPMLPall Singapore’s prior written approval. (g) all work and services performed in connection with or related to NPMLPall Singapore’s Purchase Order and/or the Goods shall be performed by appropriately qualified and trained personnel, with due care, skill and diligence and to such high standard of quality as is reasonable and all equipment and tools provided will at all times be maintained in first class condition by Supplier. NPML Pall Singapore reserves the right to require the replacement of any personnel, tools or equipment that do not comply with the foregoing provisions at Supplier’s cost. In such an event, Supplier shall replace any personnel, tools or equipment as required by Pall Singapore as soon as reasonably practicable from the date the request is made. 2.3 Where The Supplier has further warrants that neither the benefit of warranties in relation to components comprised in the Goods, the benefit of such warranties shall be assignable and hereby assigned to NPML. NPML may assign the benefit of warranties provided by Supplier to NPML’s customers and nor anyone claiming under or through the Supplier shall do all things required by NPML have or shall claim to enable such assignment to be effected. 2.4 Supplier will guarantee that the warranty period will be honoured in the event that the Supplier is acquired by a third party. 2.5 These representationshave any lien, undertakings and warranties set out in this clause 2 shall survive acceptance of encumbrance or security interest against Pall Singapore's property or the Goods provided hereunder or termination of the Purchase Order and are in addition furnished to any rights of NPML under any applicable law (including statute) and undertakings of additional scope given to NPML by Supplier. No implied representations, undertakings or warranties are excludedPall Singapore.

WARRANTIES & REPRESENTATIONS. 2.1 Supplier acknowledges that NPML NPL is at all times relying on Supplier’s expertise, knowledge and skill. To that extent, Supplier represents and warrants to NPML Pall Indonesia that the quantity, quality and description of the Goods (including without limitation all components, raw materials and related work) shall, subject as provided in these terms and conditions, be as specified in NPMLPall Indonesia’s Purchase Order and/or in any applicable agreement, specification or drawing supplied by NPML Pall Indonesia to Supplier or agreed in writing (“Specification”). 2.2 The Supplier shall ensure that: (a) the Goods shall comply with and be performed in accordance with all relevant laws, regulations and industry standards, including includ ing as to environmental matters and good engineering practices, and when work is performed at NPMLPall Indonesia’s site, NPMLPall Indonesia’s health and safety rules and regulations.; (b) the Goods supplied shall be new and shall not have been used previously and shall be free from defects in design, material and an d workmanship, and must be of merchantable quality, and fit for any purpose as specified in NPML’s the Purchase Order or by implication made known to Supplier at the time the Pall Indonesia’s Purchase Order is placed (the “Purpose”).; (c) it shall convey to NPML Pall Indonesia good title (free and clear from all encumbrances, claims and other defects in title) to all Goods delivered to NPML Pall Indonesia or to which NPML Pall Indonesia is entitled to.; (d) the Goods, the process of their manufacture and the use of the Goods for the Purpose and any purpose for which they are customarily intended under this sale will not infringe any patent claims or other intellectual property rights of a third party.; (e) all documents, including invoices, and all information submitted by it in support of any costs shall constitute a true, accurate and complete description of the Goods, activities and transactions to which they pertain,; (f) all samples provided to NPML Pall Indonesia by Supplier shall be free from defects in design, material and workmanship, and no Goods delivered hereunder shall be of a lesser quality or standard than the corresponding samples or previous supplies received by NPML Pal l Indonesia from Supplier without NPMLPall Indonesia’s prior written approval.; and (g) all work and services performed in connection with or related to NPMLPall Indonesia’s Purchase Order and/or the Goods shall be performed by appropriately qualified and trained personnel, with due care, skill and diligence and to such high standard of quality as is reasonable and all equipment and tools provided will at all times be maintained in first class condition by Supplier. NPML Pall Indonesia reserves the right to require the replacement of any personnel, tools or equipment that do not comply with the foregoing provisions at Supplier’s cost. 2.3 Where Supplier has the benefit of warranties in relation to components comprised in the Goods, the benefit of such warranties shall be assignable and hereby assigned to NPMLPall Indonesia. NPML Pall Indonesia may assign the benefit of warranties provided by Supplier to NPMLPall Indonesia’s customers and the Supplier shall do all things required by NPML Pall Indonesia to enable such assignment assigned warranties to be effected. 2.4 Supplier will guarantee that the warranty period will be honoured in the event that the Supplier is acquired by a third party. 2.5 These representations, undertakings and warranties set out in this clause 2 shall survive acceptance of the Goods provided hereunder or termination of the Purchase Order and are in addition to any rights of NPML Pall Indonesia under any applicable law (including statute) and undertakings of additional scope given to NPML Pall Indonesia by Supplier. No implied representations, undertakings or warranties are excluded.

WARRANTIES & REPRESENTATIONS. 2.1 Supplier acknowledges that NPML Pall Thailand is at all times relying on Supplier’s expertise, knowledge and skill.
