Warranty Claims and Customer Complaints. Except as set forth on Schedule 3.22, there are no existing or, to the Knowledge of each Shareholder, threatened claims or customer complaints against the Company (i) for or related to any alleged defective product or (ii) for or related to any product which alleges failure to meet any service or product warranties of the Company or any applicable standard or specification of any contract or purchase order for such product or any applicable foreign, federal, state or local Law, in either case which involve costs to the Company in excess of $5,000 or which in the aggregate for all claims and customer complaints against the Company exceed $25,000. Schedule 3.22 accurately describes all such claims or customer complaints (exceeding the dollar thresholds set forth in the previous sentence) received by the Company during the past two years, including, with respect to each such claim or customer complaint, a description of (i) the nature of the claim or customer complaint and (ii) the date of the claim or customer complaint.
