Common use of Warranty or Other Claims Clause in Contracts

Warranty or Other Claims. There are no existing, or, to the Company's knowledge, threatened, product liability, warranty or other similar claims, or, to the Company's knowledge, any facts upon which a claim of such nature could be based, against the Company or any Subsidiary for products or services which are defective or fail to meet any product or service warranties and which, individually or in the aggregate, would reasonably be likely to result in a Material Adverse Effect, except as set forth in Schedule 2.16. No claim or claims which would, individually or in the aggregate, reasonably be likely to result in a Material Adverse Effect has been asserted against the Company or any Subsidiary for renegotiation or price redetermination of any business transaction, and, to the Company's knowledge, there are no facts upon which any such claim could be based.
