Common use of WHEN NOTICES ARE RECEIVED Clause in Contracts

WHEN NOTICES ARE RECEIVED. Any such notice will be deemed to have been received: (a) if delivered personally or by hand, at the time of delivery; (b) if sent by mail, when it would be delivered in the ordinary course of post, but in any event (i) not later than seven (7) Business Days after posting. (c) if sent by electronic transmission, when received by the recipient in readable form: (i) by 5.00 pm (local time in the place of receipt) on a Business Day – on that day; or (ii) after 5.00 pm (local time in the place of receipt) on a Business Day, or on a day that is not a Business Day – on the next Business Day; and (d) if it is given in any other manner permitted by law, when actually received by that person, unless a later time of receipt is specified in it.
