With Consent. Subject to Section 9.04(b), Seller may not transfer or assign this Agreement or its rights under this Agreement without the prior written consent of Buyer, which consent may not be unreasonably withheld or delayed. Any direct or indirect change of control of Seller (whether voluntary or by operation of law) will be deemed an assignment and will require the prior written consent of Buyer, which consent will not be unreasonably withheld. For purposes of this Section 9.04, Buyer will not withhold its consent to an indirect change of control of Seller if Seller demonstrates to Buyer’s reasonable satisfaction that Seller shall continue to perform its obligations under this Agreement as if no such indirect change of control had occurred.
With Consent. Transactions, whether outright or as security, for which the Administrative Agent’s, the Required Lenders’ or the Lenders’, as applicable, prior written consent has been obtained to the extent such approval is required under this Agreement;
With Consent. Except as provided in Section 9.05(c), with respect to any Trust Fund formed pursuant to the terms hereof, any provision of this Agreement may be amended by Xxxxxxx Mac and the Trustee, with the written consent of the Holders of Certificates representing not less than 50 percent of the then outstanding principal amount of each Class of Certificates affected by such amendment.
With Consent. Except as provided in Section 8.05(c), with respect to any Pass-Through Pool formed pursuant to the terms hereof, any provision of this Agreement may be amended by Xxxxxxx Mac and the Trustee with the written consent of the Holders of Pass-Through Certificates representing not less than 50 percent of the then outstanding principal amount or notional principal amount of each Class of Pass-Through Certificates affected by such amendment.
With Consent. If Tenant holds over with the prior written consent of Port, monthly Base Rent shall be equal to one hundred fifty percent (150%) of the monthly Base Rent payable in the month immediately preceding the expiration of this Lease; provided that if both Tenant and Port desire to enter into a new lease or extend the existing term of this Lease but have not yet executed such new lease or extension solely due to Port’s delay to produce such document, then the monthly Base Rent during such holdover period shall be equal to the higher of: (a) the Base Rent payable in the month immediately preceding the expiration of this Lease, or
With Consent. Any holding over with the consent of the Commissioner in writing constitutes a Lease from month-to-month on the same terms and conditions as this Agreement, including payment of the Rent attributable to the portion or portions of the Leased Space Tenant continues to occupy after the Term; Tenant must surrender and vacate the Leased Space no later than the 30th day following notice from the Commissioner that the month-to-month holdover is terminated.
With Consent. This Agreement also may be amended from time to time by the Depositor, the Seller, the Securities Administrator, the Master Servicer, the Servicers and the Trustee with the consent of the Holders of a Majority in Interest of each Class of Certificates affected thereby and the Cap Provider (to the extent required by the Cap Agreement) for the purpose of adding any provisions to or changing in any manner or eliminating any of the provisions of this Agreement or of modifying in any manner the rights of the Holders of Certificates; provided, however, that no such amendment shall (i) reduce in any manner the amount of, or delay the timing of, payments required to be distributed on any Certificate without the consent of the Holder of such Certificate, (ii) adversely affect in any material respect the interests of the Holders of any Class of Certificates in a manner other than as described in clause (i), without the consent of the Holders of Certificates of such Class evidencing, as to such Class, Percentage Interests aggregating 662/3%, or (iii) reduce the aforesaid percentages of Certificates the Holders of which are required to consent to any such amendment, without the consent of the Holders of all such Certificates then Outstanding.
With Consent. To any person with the Company's consent.
With Consent. Any holding over after the Expiration Date with the express consent of the City will be construed to automatically extend the Term of this Master License for a period of one License Year at a License Fee equal to 150% of the License Fee in effect immediately before the Expiration Date, and the Master License otherwise will be on its express terms and conditions.
With Consent.
