With Respect To Seller's Obligations. Notwithstanding any other provision of this Agreement, the indemnification obligations of Sellers under Section 8.3.1(i), other than indemnification obligations arising by reason of Sellers' breach of its covenant set forth in the third sentence of Section 3.1, shall not exceed the Purchase Price in the aggregate; provided, however, that such limitation on Sellers' liability shall not apply to Indemnifiable Losses (as hereinafter defined) resulting from Sellers' fraud or willful breach.
