Withdrawal for juste cause. 12.2.1. The Seller can withdraw from the agreement entered into according to those General Terms and Conditions and from any Order, via a simple written notice to the Buyer if: (i) The Buyer either goes bankrupted or becomes insolvent or an administrator is appointed or anyhow he is under any insolvency procedure; (ii) The Buyers enters into a winding-up procedure, either voluntary or not; (iii) The Buyer either merges or is acquired or transfers his goods to a competitor of the Seller.
