Common use of Withdrawal of Borrowers Clause in Contracts

Withdrawal of Borrowers. In the event any Borrower wishes to cease being a party to this Agreement, such Borrower shall give the Lender at least three Business Days’ advance written notice thereof. On the date specified in such notice and subject to the receipt by the Lender of the outstanding principal balance of all Loans made to such Borrower which are then outstanding together with any accrued and unpaid interest thereon and such Borrower’s Pro Rata Share of any accrued and unpaid fees and other amounts due hereunder, such Borrower will cease to be a “Borrower” hereunder, provided, however, that any obligations of such Borrower hereunder which would survive the termination of this Agreement pursuant to the terms hereof shall survive such Borrower’s withdrawal from this Agreement.
