FTDI may withdraw its request for registration under this Section 4 at any time prior to the effective date of the Registration Statement related to such registration, provided that if it elects to remain liable for all expenses incurred in conjunction therewith then such withdrawn Registration Statement shall not be considered to be a Form S-3 registration for the purposes of this Section 4.
