Common use of Withholding Certificate Clause in Contracts

Withholding Certificate. Seller shall have delivered to Purchaser a valid, properly executed IRS Form W-9 (or, if Seller is an entity treated as disregarded as separate from its owner for federal income tax purposes, Seller’s regarded owner for federal income tax purposes); provided that Purchaser’s or the Company’s sole right if Seller fails to provide such IRS Form W-9 shall be to make appropriate withholdings under Sections 1445 and 1446 of the Code.
