The Company may, at its option, at any time terminate this Agreement and the Employee’s employment hereunder Without Cause (as defined below) by giving ninety (90) days prior written notice (or payment of ninety (90) days Base Salary in lieu of notice) to the Employee of the Employee’s intention to terminate this Agreement and his employment hereunder.
