Common use of Working Drawings Clause in Contracts

Working Drawings. After the Space Plan has been approved by Landlord, Tenant shall supply the Architect and the Building Consultants with a complete listing of standard and non-standard equipment and specifications, including, without limitation, B.T.U. calculations, electrical requirements and special electrical receptacle requirements for the Premises, to enable the Architect and the Building Consultants to complete the Working Drawings and shall cause the Architect and the Engineers to promptly complete the architectural and engineering drawings for the Premises, and Architect shall compile a fully coordinated set of architectural, structural, mechanical, electrical and plumbing working drawings in a form which is complete to allow subcontractors to bid on the work and to obtain all applicable permits (collectively, the “Working Drawings”) and shall submit the same to Landlord for Landlord’s review and approval within ten (10) business days after Landlord’s approval of the Space Plan. Tenant shall supply Landlord with four (4) copies signed by Tenant of the Working Drawings. Landlord shall advise Tenant within ten (10) business days after Landlord’s receipt of the Working Drawings if Landlord, in good faith, determines that the same are approved or are unsatisfactory or incomplete. If Tenant is so advised, Tenant shall, within five (5) business days, revise the Working Drawings to correct any deficiencies or other matters Landlord may reasonably require. If Landlord disapproves any such revised Working Drawings (or any subsequent revisions) because such revised Working Drawings do not address Landlord’s prior disapproval, any delay in the Substantial Completion of the Tenant Improvements resulting therefrom will be Tenant Delay.

Landlord shall advise Tenant within ten (10) business days after Landlord’s receipt of the Working Drawings if Landlord, in good faith, determines that the same are approved or are unsatisfactory or incomplete, and any disapproval of the Working Drawings shall accompany Landlord’s detailed reasons for such disapproval. If Tenant is so advised, Tenant shall, within five (5) business days, shall promptly revise the Working Drawings to correct any deficiencies or other matters Landlord may reasonably require. If Landlord disapproves any require and deliver such revised Working Drawings (or any subsequent revisions) because such revised Working Drawings do not address Drawing to Landlord. Landlord’s prior disapprovalfailure to respond within five (5) business days thereafter, any delay in the Substantial Completion of the Tenant Improvements resulting therefrom will if such failure continues following a second, three (3) business day notice, shall be Tenant Delaydeemed approval by Landlord.

After the Space Plan has been approved by Landlord, Tenant shall supply the Architect and the Building Consultants with a complete listing of A–4 standard and non-standard equipment and specifications, including, without limitation, B.T.U. calculations, electrical requirements and special electrical receptacle requirements for the Premises, to enable the Architect and the Building Consultants to complete the Working Drawings and shall cause the Architect and the Engineers Building Consultants to promptly complete the architectural and engineering drawings for the Premises, and Architect shall compile a fully coordinated set of architectural, structural, mechanical, electrical structural and plumbing MEP working drawings in a form which is complete to allow subcontractors to bid on the work and to obtain all applicable permits (collectively, the “Working Drawings”) and shall submit the same to Landlord for Landlord’s review and approval, which approval within ten (10) business days after Landlord’s approval of the Space Planshall not be unreasonably withheld, conditioned or delayed. Tenant shall supply Landlord with four (4) copies signed by Tenant of the Working Drawings. Landlord shall advise Tenant within ten (10) business days Business Days after Landlord’s receipt of the Working Drawings if Landlord, in good faith, determines that the same are approved (as so approved, the “Approved Working Drawings”) or are unsatisfactory or incomplete. If Tenant is so advisedadvised that the Working Drawings are unsatisfactory or incomplete, Tenant shall, within five (5) business days, shall promptly revise the Working Drawings to correct any deficiencies or other matters Landlord may reasonably require. If Landlord disapproves any such revised Working Drawings (or any subsequent revisions) because such revised Working Drawings do not address Landlord’s prior disapproval, any delay in the Substantial Completion of the Tenant Improvements resulting therefrom will be Tenant Delay.

Landlord shall advise Tenant within ten five (105) business days after LandlordXxxxxxxx’s receipt of the Working Drawings if Landlord, in good faith, determines that the same are approved or are unsatisfactory or incomplete. If Tenant is so advised, Tenant shall, within five (5) business days, shall promptly revise the Working Drawings to correct any deficiencies or other matters Landlord may reasonably require. If Landlord disapproves any such revised Tenant may elect to submit the Working Drawings (or any subsequent revisions) because such revised to the appropriate city/governmental agency to start the permit process prior to receiving Landlord’s approval of the Working Drawings; provided, however, the Working Drawings do shall not address Landlord’s prior disapproval, be deemed approved by Landlord until Xxxxxx has revised the Working Drawings to correct any delay in the Substantial Completion of the Tenant Improvements resulting therefrom will be Tenant Delaydeficiencies or other matters Landlord may reasonably require.

Landlord’s failure to respond within such fifteen (15) business day period shall be deemed approval by Landlord. If Tenant is so advised, Tenant shall, within five (5) business days, shall promptly revise the Working Drawings to correct any deficiencies or other matters Landlord may reasonably require. If Landlord disapproves any such revised Working Drawings (or any subsequent revisions) because such revised Working Drawings do not address Landlord’s prior disapproval, any delay in the Substantial Completion of the Tenant Improvements resulting therefrom will be Tenant Delay.

Landlord shall advise Tenant within ten seven (107) business days after Landlord’s receipt of the Working Drawings if Landlord, in good faith, determines that the same are approved (the “Approved Working Drawings”) or are unsatisfactory or incomplete. If Tenant is so advised, Tenant shall, within five (5) business days, shall promptly revise the Working Drawings to correct any deficiencies or other matters Landlord may reasonably require. If In the event Landlord disapproves any fails to respond within such revised seven (7) business day period, Tenant shall send a reminder notice to Landlord, and if Landlord fails to respond to the reminder notice within three (3) business days after receipt thereof, such Working Drawings (or any subsequent revisions) because such revised Working Drawings do not address shall be deemed approved by Landlord’s prior disapproval, any delay in the Substantial Completion of the Tenant Improvements resulting therefrom will be Tenant Delay.

Working Drawings. After the Space Plan has been approved by Landlord, Tenant shall supply the Architect and the Building Consultants with a complete listing of standard and non-standard equipment and specificationsat its expense, including, without limitation, B.T.U. calculations, electrical requirements and special electrical receptacle requirements for the Premises, to enable the Architect and the Building Consultants to complete the Working Drawings and shall cause its architect to prepare the Architect and the Engineers to promptly complete the architectural and engineering final working drawings for the Premises, and Architect shall compile a fully coordinated set improvement of architectural, structural, mechanical, electrical and plumbing working drawings in a form which is complete to allow subcontractors to bid on the work and Premises hereunder sufficient to obtain all applicable permits (collectively, the “Working Drawings”) ). The Working Drawings shall be consistent with and a logical evolution of the Tenant Plans. Landlord shall submit the same Working Drawings to Landlord for Tenant and Tenant shall approve or disapprove the Working Drawings, which approval shall not be unreasonably withheld, in writing within seven (7) days of Landlord’s review submission of the Working Drawings to Tenant. If Tenant disapproves, Tenant shall so notify Landlord thereof and approval within ten (10) business days after Landlordstate the reasons for such disapproval, and Landlord and Tenant shall promptly meet and confer and discuss to resolve any differences in good faith. Upon resolution, Landlord shall promptly resubmit the Working Drawings to Tenant for Tenant’s approval of the Space Plansame, provided, that if the dispute has not been resolved within seven (7) days then each additional day for which the dispute continues shall be a Tenant Delay. If Tenant shall supply Landlord with four (4) copies signed by Tenant of fails to disapprove the Working DrawingsDrawings within said seven (7) days, the Working Drawings shall be deemed approved by Tenant. Landlord shall advise Tenant within ten (10) business days after LandlordTenant’s receipt unreasonable disapproval of the Working Drawings if Landlord, in good faith, determines that the same are approved or are unsatisfactory or incomplete. If Tenant is so advised, Tenant shall, within five (5) business days, revise the Working Drawings to correct any deficiencies or other matters Landlord may reasonably require. If Landlord disapproves any such revised Working Drawings (or any subsequent revisions) because such revised Working Drawings do not address Landlord’s prior disapproval, any delay in the Substantial Completion of the Tenant Improvements resulting therefrom will be shall constitute a Tenant Delay.
