Workmanlike Completion. (a) Borrower shall make each Replacement when required in order to keep the Property in good order and repair and in a good marketable condition and to keep the Property or any portion thereof from deteriorating. Borrower shall complete all Replacements in a good and workmanlike manner as soon as practicable following the commencement of making each such Replacement. (b) Lender shall have the right to approve all contracts or work orders with materialmen, mechanics, suppliers, subcontractors, contractors or other parties providing labor or materials in connection with the Replacements. Upon Lendxx'x xequest, Borrxxxx xxxll assign any contract or subcontract to Lender as additional security for the Indebtedness. (c) In the event Lender determines in its sole discretion that any Replacement is not being performed or completed in a workmanlike or timely manner, Lender shall have the option to withhold disbursement for such unsatisfactory Replacement, and may proceed under existing contracts or contract with third parties to complete such Replacement and to apply the Replacement Reserve toward the labor and materials necessary to complete such Replacement, without providing any prior notice to Borrower and to exercise any and all other remedies available to Lender upon a default or Event of Default. (d) If at any time during the term of the Loan, Lender determines that replacements not listed on Exhibit A are advisable to keep the Property in good order and repair and in a good marketable condition, or to prevent deterioration of the Property (the "Additional Replacements") Lender may send Borrower written notice of the need for making such Additional Replacements. Borrower shall promptly commence making such Additional Replacements in accordance with all the requirements of the Security Instrument. Reimbursement from the Replacement Reserve for such Additional Replacements shall not be made unless Lender has determined to do so pursuant to Section 4(f). Except for Section 4, all references in this Agreement to "Replacements" shall include the "Additional Replacements." (cb) In the event Lender determines in its sole discretion that any Replacement Repair has not been begun as agreed in Section 3 above, is not being performed or completed in a workmanlike or timely manner, or has not been completed in a workmanlike manner within the Completion Period (or such other completion date as may be set forth on Exhibit A), Lender shall have the option to withhold disbursement disbursements for such unsatisfactory Replacementnonsatisfactory Repair, and may proceed under existing contracts or contract with third parties to make or complete such Replacement Repair and to apply the Replacement Reserve funds in the Collateral Account toward the labor and materials necessary to make or complete such Replacement, Repair without providing any prior notice to Borrower and to exercise any and all other remedies available to Lender upon a default or Event of Defaultpursuant to Section 6.1 hereof.
(d) If at any time during the term of the Loan, Lender determines that replacements not listed on Exhibit A are advisable to keep the Property in good order and repair and in a good marketable condition, or to prevent deterioration of the Property (the "Additional Replacements") Lender may send Borrower written notice of the need for making such Additional Replacements. Borrower shall promptly commence making such Additional Replacements in accordance with all the requirements of the Security Instrument. Reimbursement from the Replacement Reserve for such Additional Replacements shall not be made unless Lender has determined to do so pursuant to Section 4(f). Except for Section 4, all references in this Agreement to "Replacements" shall include the "Additional Replacements."
(ec) In order to facilitate Lendxx'x xompletion Lender's completion or making of the Replacements pursuant to Sections 5(c) and (dRepairs under Section 5.1(b) above, Lender is granted shall have the right to enter onto the Property and perform any and all work and labor necessary to make or complete or make the Replacements Repairs and employ watchmen to protect the Property from damage. All sums so expended by Lendxx xxxll Lender pursuant to this Section 5 or pursuant to any other provision of this Agreement, shall be deemed to have been advanced to Borrower and shall be secured by the Security Instrument. For this purpose Borrower hereby constitutes and appoints Lender its true and lawful attorney-in-fact with full power of substitution to complete or undertake the Replacements Repairs in the name of Borrower. (iii) to employ such contractors, subcontractors, agents, architects and inspectors as shall be required for such purposes; ;
(iv) to pay, settle or compromise all existing bills and claims which are or may become liens against for materials and work performed in connection with the Property, Repairs or as may be necessary or desirable for the completion of the Replacements, Repairs or for the clearance of if title; ;
(v) to execute all applications and certificates in the name of the Borrower which may be required by any of the contract documents; Documents;
