Any certificate signed by any officer of the Company, the Operating LLC or any of their respective subsidiaries and delivered to the Managers or to counsel for the Managers in connection with this Agreement or any Terms Agreement shall be deemed a representation and warranty by the Company, the Operating LLC or such subsidiary of the Company or the Operating LLC, as applicable, to each Manager as to the matters set forth therein. The Company acknowledges that the Managers and, for purposes of the opinions to be delivered pursuant to Section 4 hereof, counsel for the Company and counsel for the Managers, will rely upon the accuracy and truthfulness of the foregoing representations and hereby consents to such reliance.
