Common use of Xx Assignment Clause in Contracts

Xx Assignment. No Party is entitled to assign or transfer (goederenrechtelijke xxxxxxx) all or part of its rights and/or obligations under this Agreement to any third Person, without the prior written consent of the other Party.

Xx Assignment. No Party is entitled to assign or transfer (goederenrechtelijke xxxxxxx) all or part of its rights and/or obligations under this Agreement to any third Person, without the prior written consent of the other Party, provided that the Discloser shall be allowed to assign or transfer (goederenrechtelijke xxxxxxx) this Agreement (or any rights or obligations under this Agreement) to the ultimate purchaser of (the business of) the Group or any Person designated by such purchaser.
