XX XX Closing; Manner of Payment of the XX XX Purchase Price. The consummation of the transactions contemplated in this Section 3 (the “XX XX Closing”) shall occur on the later of: (i) the earlier of five (5) business days following the date of the consummation of the IPO and the date on which Campus Crest REIT receives the proceeds of the IPO from the underwriter of the IPO and (ii) the date upon which HSRE XX XX Member and Purchaser have received the XX XX Lender Consent, if required under the applicable loan documents (the “XX XX Closing Date”). At the XX XX Closing, Purchaser shall pay the XX XX Purchase Price to the HSRE XX XX Member by wire transfer of immediately available funds. The parties shall conduct an escrow style closing through a party selected by Purchaser and the HSRE XX XX Member so that it will not be necessary for any party to physically attend the XX XX Closing.
