XXXX Disclosure. Seller shall comply with the disclosure requirements concerning its Michigan unemployment experience rate and contributions by completing and delivering to Purchaser a Form XXXX 1027 Business Transferor’s Notice to Transferee of Unemployment Tax Liability and Rate. Further, Seller shall, at its expense at or prior to Closing, deliver to Purchaser a Clearance of Account Form 1395 from the Michigan Unemployment Insurance Agency showing that all reports have been submitted and taxes paid in full as of the end of the calendar quarter immediately prior to Closing.
