XXXX Xxxions Sample Clauses

XXXX Xxxions. Pursuant to the terms of the Amended and Restated 2008 BOHI Xxxity Incentive Plan and each underlying award agreement, each option to acquire BOHI Xxxres (“BOHI Xxxions”), that is not otherwise immediately exercisable will become fully exercisable upon the approval of this Agreement by the BOHI’x xxxreholders at the BOHI Xxxting (as defined in Section 1.09). The BOHI Xxxrd shall set a date (which date will be at least one business day before the Effective Time) (the “Specified Date”) before which all BOHI Xxxions shall automatically be exercised without any action on the part of the holder thereof on a for-cash or cashless exercise basis, as determined by such holder, and BOHI xxxll issue BOHI Xxxres pursuant to such automatic exercise of the BOHI Xxxions. After the Specified Date and prior to the Effective Time, all BOHI Xxxions will terminate and the holder thereof shall have no further rights to acquire BOHI Xxxres pursuant to any such terminated BOHI Xxxion. All BOHI Xxxions and the number of BOHI Xxxres into which they will be automatically converted are set forth on Confidential Schedule 1.06(A).
