Common use of Xxxxxx and time of payment Clause in Contracts

Xxxxxx and time of payment. Each amount payable by the relevant Issuer or, as the case may be, the Guarantor, under Clause 7.1 (Relevant Issuer or Guarantor to pay Fiscal Agent) shall be paid unconditionally by credit transfer in the currency in which the Notes of the relevant Series are denominated or, if different, payable and in immediately available, freely transferable, cleared funds not later than 10.00 a.m. (Local Time) on the relevant day to such account with such bank as the Fiscal Agent may from time to time by notice to the relevant Issuer and, if applicable, the Guarantor have specified for the purpose. The relevant Issuer or (as the case may be) the Guarantor, shall, before 10.00 a.m. (Local Time) on the second Local Banking Day before the due date of each payment by it under Clause 7.1 (Relevant Issuer or Guarantor to pay Fiscal Agent), procure that the bank effecting payment for it confirms by tested telex, authenticated SWIFT message or such other method as may be agreed to the Fiscal Agent the payment instructions relating to such payment.

The relevant Issuer or (as the case may be) the Guarantor, relevant Guarantor shall, on or before 10.00 a.m. (Local Time) on the second Local Banking Day before the due date of each payment by it under Clause 7.1 (Relevant Issuer or Guarantor to pay Fiscal Agent), procure that the bank effecting payment for it confirms by facsimile, tested telex, telex or authenticated SWIFT message or such other method as may be agreed to the Fiscal Agent the payment instructions relating to such payment.
