Common use of Xxxxxx Right to Sublicense Clause in Contracts

Xxxxxx Right to Sublicense. Xxxxxx shall have the right to grant sublicenses under the license granted to it under Section 8.1.1 solely to Third Party subcontractors engaged by Xxxxxx to perform designated support functions related to the conduct of Xxxxxx Research Activities under the Research Program and the Development of Candidates under the Development Program; provided however, that (i) Xxxxxx shall obtain the prior approval of the JSC to each sublicense grant; (ii) Xxxxxx shall remain responsible for the satisfactory accomplishment of such work in accordance with the teuus and conditions of this Agreement; and (iii) each such subcontractor shall enter into a written agreement binding such subcontractor to the obligations Xxxxxx has to Enanta under this Agreement (and containing such other provisions as are normal and customary for similar types of agreements).
