Prohibition on Solicitation. Without the written consent of the other Party, neither Party nor its Affiliates shall, during the [***] or for [***] year thereafter, solicit (directly or indirectly) any employee of the other Party or its Affiliates who participated in the Research Program at any time during the Research Program Term. This provision shall not restrict either Party or its Affiliates from advertising employment opportunities in any manner that does not directly target the other Party or its Affiliates.
Prohibition on Solicitation. Without the written consent of the other Party, neither Party nor its Affiliates shall, during the Term of this Agreement or for a period of one (1) year following the expiration or termination of the Term, whichever is shorter, solicit any employee of such Party or its Affiliates who participated in the Backup Compound Research Program and/or the Development activities. This provision shall not restrict either Party or its Affiliates from advertising employment opportunities in any manner that does not directly target the other Party or its Affiliates.
Prohibition on Solicitation. During the Restricted Period, neither Party nor its Affiliates shall, directly or indirectly, actively recruit, or solicit any employee of the other Party or its Affiliates with whom such Party or its Affiliates have come into contact or interacted for the purposes of performing this Agreement, without the prior consent of the other Party. For purposes of this Section 11.15, “solicit” shall be deemed not to include (a) circumstances where an employee of one Party or any of its Affiliates initially contacts the other Party or any of such Party’s Affiliates seeking employment or (b) general solicitations of employment not specifically targeted at such employees.
Prohibition on Solicitation. No Party nor any of its Affiliates shall, during the period commencing on the Effective Date and continuing until the expiration or termination of this Agreement and two (2) years thereafter, specifically solicit any person who is employed by the other Party or its Affiliates and who was involved in the Commercial Alliance during the Term of this Agreement, whether such person is solicited to be hired as an employee or consultant, unless authorized in writing by the other Party. The Parties acknowledge that generally listing a position for hire in a newspaper, trade journal or similar publication shall not constitute a specific solicitation in violation of the terms of this provision. The Parties further acknowledge for the avoidance of doubt that this Section only applies to those persons that remain employees of a Party and not to former employees of a Party. * CONFIDENTIAL TREATMENT REQUESTED
Prohibition on Solicitation. Without ImmunoGen’s prior written consent, neither Novartis nor any of its Affiliates shall, during [***], solicit, directly or indirectly, for hire or engagement any person who is at the time an employee of ImmunoGen or any of its Affiliates. Notwithstanding the foregoing, this Section 11.15 shall not restrict either Novartis or any of its Affiliates from advertising employment opportunities or engaging in other activity directed towards recruitment of personnel, in each case if and to the extent that such advertising or activities do not specifically target employees of ImmunoGen or its Affiliates. For purposes of clarity and not limitation, any breach of this Section by Novartis or any of its Affiliates shall be not be deemed a [***]; provided however, if Novartis or any of its Affiliates breaches this Section and then, during the Term, hires the Person whose solicitation gave rise to such breach as an employee (whether on a temporary or permanent basis, or a part- or full-time basis) or engages for the services of such Person either as a consultant, independent contractor or any other capacity for the benefit of Novartis or any of its Affiliates, then ImmunoGen shall have the right to assert that such breach of this Section constituted a [***]. If the Parties agree, or it is otherwise finally determined in accordance with the terms of this Agreement, that such [***], ImmunoGen’s sole remedy for such [***] shall be to [***]. Novartis shall indemnify any ImmunoGen Indemnitees in accordance with Section 10 hereof with respect to any Losses incurred by or imposed upon them as a direct result of any Third Party Claim arising out of ImmunoGen’s exercise of its sole remedy described above.

Without the prior written consent of the other Party, neither Party nor its Affiliates shall, during the Term and for the longer of (i) a period of [***] following the expiration or termination of this Agreement or (ii) the duration of any Tail Period, solicit (directly), or attempt to solicit, any employee, director, or consultant who was employed or engaged by the other Party or its Affiliates. This provision shall not restrict either Party or its Affiliates from advertising employment opportunities in any manner that does not directly target employees, directors, or consultants of the other Party or its Affiliates or from employing anyone who responds to such advertisements.
